Buyer is responsible for all sales, use, value-added, excise, and other taxes and government-imposed fees associated with the transaction, except for taxes imposed on Seller's income.

Except for express warranties set forth herein, all goods are sold AS IS and Seller disclaims all other warranties, express or implied, to the fullest extent permitted by law. Seller's aggregate liability arising from or in connection with this Agreement shall not exceed the total purchase price paid by Buyer for the specific goods that give rise to the claim.

Default & Remedies

If Buyer fails to pay any amount when due or otherwise breaches this Agreement, Seller may, at its option, suspend performance, cancel outstanding deliveries, retain deposits as liquidated damages, and pursue all remedies available at law or in equity. Costs of collection, including reasonable attorneys' fees, shall be recoverable by the prevailing party.
