Late Payment & Collection

If payment is not received by the Due Date, interest will accrue on the outstanding balance at the lesser of 1.5% per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly. Buyer shall also be responsible for all reasonable collection costs, including attorneys' fees, court costs, and any expenses incurred to collect overdue amounts.

Terms & Conditions

Seller warrants that items supplied conform to the description provided on this invoice and are free from material defects at the time of delivery. Except as expressly stated, all goods are supplied without other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Buyer must notify Seller in writing of any claim for shortages, defects or nonconformance within ten (10) days of receipt; failure to provide timely notice shall constitute acceptance of the goods.

Title to the goods remains with Seller until payment in full is received. Seller retains a purchase-money security interest in the goods and all proceeds until all amounts due are paid. In the event of default, Seller may repossess goods, offset sums, and pursue any remedies available at law or in equity.

Limitation of liability: Except for liability arising from willful misconduct or gross negligence, Seller's aggregate liability arising from or related to this invoice shall not exceed the total amount paid under this invoice. These remedies are Buyer’s exclusive remedies.

Governing law and dispute resolution: This invoice and any dispute arising out of it shall be governed by the laws of the jurisdiction where Seller maintains its principal place of business, without regard to conflict of law rules. Parties shall attempt in good faith to resolve disputes amicably before initiating formal proceedings.
