Acceptance: This Purchase Order is an offer by Buyer and becomes a binding contract only upon Supplier’s written acceptance or commencement of performance. Any additional or conflicting terms proposed by Supplier are rejected unless expressly accepted in writing by Buyer.

Changes and Cancellations: Buyer may order changes in quantities, delivery schedule, or specifications. If changes increase costs, Supplier must notify Buyer and obtain written approval prior to performance. Buyer may cancel orders for convenience provided Buyer pays Supplier for work-in-progress and reasonable demurrage only if previously agreed in writing.

Warranty: Supplier warrants goods will conform to specifications, be free from defects, and fit for the intended purpose for a period of one year from acceptance unless otherwise stated. Remedies for breach include repair, replacement, or refund at Buyer’s election.

Indemnity and Liability: Supplier shall indemnify, defend, and hold Buyer harmless from claims arising from Supplier’s breach, negligence, or willful misconduct, including product liability claims. Buyer’s aggregate liability shall be limited to direct damages and shall exclude consequential damages, except in cases of gross negligence or willful misconduct.

Force Majeure: Neither party will be liable for delay or failure to perform due to causes beyond reasonable control, provided the affected party gives prompt notice and makes reasonable efforts to resume performance.

Governing Law and Remedies: This Purchase Order will be governed by the substantive laws of the jurisdiction specified in this order or, if none specified, by the state law of the Buyer’s principal place of business. Remedies are cumulative and in addition to any rights at law or equity.
