Accepted payment methods: Check, ACH, Wire Transfer, Company Purchase Card. Payment shall be made in accordance with Payment Terms above. Late payments shall accrue interest at a rate of 1.5% per month (or the maximum rate permitted by law) from the due date until paid.

Terms and Conditions

Acceptance: This Purchase Order is an offer to purchase the goods and services described herein. Supplier's commencement of performance or delivery of goods constitutes acceptance of this Purchase Order and these terms. Any additional or different terms proposed by Supplier are expressly rejected unless accepted in writing by the Issuing Company.

Warranties: Supplier warrants that all goods and services delivered under this Purchase Order shall conform to the specifications, be free from defects in material and workmanship, and be merchantable for their intended purpose for a period of twelve (12) months from delivery unless otherwise specified in writing.

Inspection and Rejection: Issuing Company reserves the right to inspect goods upon arrival and to reject nonconforming goods. Supplier shall, at Issuing Company's option, promptly replace or repair nonconforming goods at Supplier's expense and reimburse Issuing Company for costs of return, reinspection, and any consequential losses directly resulting from the breach.

Indemnification and Liability: Supplier shall indemnify, defend, and hold harmless Issuing Company and its affiliates from any claims, damages, liabilities, costs, and expenses arising from Supplier's breach of this Purchase Order, negligence, or willful misconduct. Issuing Company's liability for any claim shall not exceed the total invoiced amount payable under the applicable Purchase Order.

Changes and Cancellations: Issuing Company may, by written change order, modify the specifications, quantities, or delivery schedule. Supplier shall not change the scope or price without Issuing Company's prior written authorization. Issuing Company may cancel this Purchase Order for convenience upon written notice; in such case Supplier shall be entitled only to payment for conforming goods delivered and accepted prior to cancellation.

Taxes and Compliance: Unless otherwise stated, prices exclude all applicable sales, use, value-added, and similar taxes; Supplier shall pay applicable taxes and, where required, provide valid tax exemption documentation. Supplier shall comply with all applicable laws, regulations, and industry standards in performance of this Purchase Order.
