Confidential Information shall not include information which (a) is or becomes generally available to the public other than through a breach of this provision, (b) was rightfully in the receiving party's possession prior to disclosure, or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Supplier warrants that goods delivered shall conform to the specifications set forth herein, be free from defects in material and workmanship, and be merchantable for their intended purpose for a period of from delivery.
