WHEREAS

WHEREAS, Host organizes events, webinars, or programs for attendees and desires to engage Speaker to conduct a question-and-answer session on the topics set forth below; and

WHEREAS, Speaker represents that Speaker possesses the expertise and experience necessary to present and respond to audience questions and is willing to provide such services on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, Host and Speaker agree as follows:

Scope of Work

Speaker shall prepare for and participate in a Q&A session in accordance with the session details and responsibilities described below. The scope includes live responses, reasonable pre-session preparation, and cooperation with Host's technical staff.

Host is granted the right to record the session and to use, reproduce, distribute, and publicly display the recording for promotional, educational or commercial purposes, subject to the terms below.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate for material breach if the other party fails to cure a breach within 15 days of written notice.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with the session that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information (Confidential Information). Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this Agreement, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall not disclose Confidential Information to any third party except to employees or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. The obligations in this section shall survive termination of this Agreement for a period of three (3) years.

Recording, Use Rights, and Publicity

If recording_permission is granted above, Speaker grants Host a non-exclusive, perpetual, worldwide right and license to use, reproduce, distribute, and publicly perform the recording of the session. Host shall give Speaker credit in materials distributed to third parties where practicable. Any additional commercial exploitation of the recording requires prior written consent of Speaker, subject to any compensation agreed separately in writing.

Indemnification and Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Neither party shall be liable for incidental, consequential, special, or punitive damages arising out of this Agreement except to the extent resulting from willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles.

Entire Agreement

This Agreement, including any attachments or written exhibits executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.
