WHEREAS

WHEREAS, Client seeks to evaluate the qualifications, capabilities, and compliance of the Service Provider through a defined qualification test process (the "Test") in order to determine eligibility for engagement on specified projects;

WHEREAS, Service Provider represents that it possesses the personnel, facilities, and technical competence necessary to perform the Test in accordance with the criteria set forth in this Agreement;

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the scope, conduct, evaluation, and payment for the Test.

Scope of Work

The Service Provider shall perform the Test as described below. Service Provider shall deliver the test outputs and supporting documentation to Client in accordance with the schedule set out in this Agreement.

Payment Terms

In consideration for the performance of the Test and delivery of the Deliverables, Client shall pay Service Provider the fees described below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall bear interest at the rate of on any unpaid balance, calculated monthly, or the maximum rate permitted by applicable law, whichever is lower. Service Provider may suspend performance for invoices unpaid more than days following written notice.

Term and Termination

This Agreement commences on the Term Start Date: and terminates on the Term End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if such breach is not cured within thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and approved Deliverables up to the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform this Agreement. "Confidential Information" includes nonpublic information disclosed in any form relating to the Test, scoring methodology, technical data, business plans, and any test materials designated as confidential.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except for information that (i) is or becomes generally known through no fault of the Receiving Party, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Intellectual Property and Test Materials

Unless otherwise agreed in writing, Service Provider grants Client a non-exclusive, royalty-free license to use test results and Deliverables for the purposes of evaluating Service Provider qualifications. Test materials, scoring rubrics, and protocols created by Client and provided to Service Provider remain Client's sole property. Service Provider shall not reproduce, distribute, or create derivative works from Client's test materials except as expressly permitted in this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under this Agreement.

Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of that party's gross negligence, willful misconduct, or material breach of this Agreement.

Entire Agreement

This Agreement constitutes the entire understanding and agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Notices under this Agreement shall be given in writing to the addresses set forth above and shall be effective upon receipt. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or agency relationship.
