SCOPE OF WORK

Provider shall perform the inspection, sampling and testing services described below and issue a certificate reflecting the results and Provider's professional determination based on the tests performed.

PAYMENT TERMS

Client shall pay Provider for services rendered in accordance with the following fee schedule and payment conditions.

Payment due within days of invoice. Late payments will incur a late fee of % per month of the outstanding balance.

TERM AND TERMINATION

This Certificate takes effect on the Start Date below and shall continue until the End Date below unless earlier terminated in accordance with this section.

Either party may terminate this Certificate for cause upon written notice to the other party if the other party materially breaches any obligation and fails to cure such breach within days after receipt of written notice.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party). "Confidential Information" means non-public technical, commercial or business information disclosed in connection with this Certificate, whether disclosed orally, in writing or by inspection. Confidential Information does not include information that (a) is or becomes publicly known other than by a breach of this provision, (b) is rightfully received from a third party without restriction, (c) is independently developed without use of the Disclosing Party's Confidential Information, or (d) is required to be disclosed by law, provided the Receiving Party gives prompt notice to the Disclosing Party to allow the Disclosing Party to seek protective measures.

The obligations of confidentiality shall survive termination of this Certificate for a period of years from the date of disclosure.

GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Certificate.

ENTIRE AGREEMENT

This Certificate, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. No amendment to this Certificate will be effective unless in writing and signed by authorized representatives of both parties.
