Either party may terminate for convenience with written notice delivered at least days prior to the effective termination date. Termination for material breach may be effective immediately where the breaching party fails to cure within a reasonable cure period specified in a written notice.

CONFIDENTIALITY

Each party shall treat as confidential all proprietary information disclosed in connection with the inspections, including test reports, specifications, non-conformance reports and corrective action plans. Confidential information shall not be disclosed except to employees or subcontractors with a need to know or as required by law. Confidentiality obligations survive termination for a period of three (3) years.

GOVERNING LAW

This Agreement and any disputes arising out of or in connection with it shall be governed by the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This form, together with any referenced schedules or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous understandings, proposals and communications, whether written or oral.

Amendments to this Agreement must be in writing and signed by authorized representatives of both parties.
