QUALITY ASSURANCE LEADS FORM AND SERVICE AGREEMENT

This Quality Assurance Leads Form and Service Agreement (the Agreement) is entered into between Client Name: and Provider Name: (collectively, the Parties). The Parties agree as follows:

WHEREAS, Client routinely receives commercial leads that require verification, qualification, and quality assurance review prior to follow-up; and

WHEREAS, Provider has the expertise and resources to perform quality assurance, validation, and reporting services related to such leads and to provide a documented record of verification activities; and

WHEREAS, the Parties desire to set forth the scope of work, payment terms, confidentiality obligations, and other material terms governing the quality assurance of leads submitted by Client to Provider.

SCOPE OF WORK

Provider shall perform quality assurance services on leads submitted by Client. Services include verification of contact information, qualification against agreed criteria, duplication checks, fraud indicators screening, and documented reporting of findings. Provider will mark each lead as Verified, Qualified, or Rejected and provide rationale for rejections.

Either Party may terminate this Agreement for convenience upon written notice delivered no fewer than days prior to the effective termination date. Termination for material breach is permitted immediately upon written notice if the breaching Party fails to cure within thirty (30) days of receipt of a cure notice.

CONFIDENTIALITY

Each Party acknowledges that leads, contact details, verification results, and any materials marked confidential or that reasonably should be understood to be confidential (Confidential Information) are the proprietary information of the disclosing Party. The receiving Party shall: (a) hold Confidential Information in strict confidence and use no less than a reasonable standard of care to protect it; (b) use Confidential Information solely for performance of obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, subcontractors, or agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidential Information does not include information that is or becomes publicly available without breach, was known to the receiving Party prior to disclosure, or is required to be disclosed by law, provided the receiving Party gives prompt notice and limits the scope of disclosure.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Provider shall indemnify Client for direct damages arising from Provider's gross negligence or willful misconduct in performing services. Except for indemnification obligations and breaches of confidentiality, neither Party shall be liable for consequential, incidental, special, or punitive damages. Aggregate liability of either Party arising out of this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement in the six (6) month period preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles. Governing State:

This Agreement, together with any schedules or attachments executed by the Parties, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification must be in writing and signed by authorized representatives of both Parties.
