QUALITY ASSURANCE (QA) APPENDIX

This Quality Assurance (QA) Appendix is entered into as an appendix to the agreement referenced below between the parties identified herein and is incorporated into and governed by the terms of that agreement.

WHEREAS

WHEREAS, the parties entered into a master agreement titled dated (the "Master Agreement"); and

WHEREAS, the parties desire to establish specific quality assurance requirements, acceptance criteria, testing procedures and corrective action obligations applicable to the services and deliverables provided under the Master Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

PARTIES

SCOPE OF WORK

The Service Provider shall perform quality assurance activities for the services and deliverables described below in accordance with the specifications, acceptance criteria and schedules set forth in this Appendix.

ACCEPTANCE CRITERIA AND TESTING

Acceptance testing shall be performed in accordance with the test plan prepared by the Service Provider and subject to Client approval. The parties agree the following minimum acceptance criteria apply:

REPORTING AND DEFECT MANAGEMENT

The Service Provider shall deliver QA reports and defect logs according to the schedule below and shall manage defects in accordance with the defined severity classification and resolution timelines.

CHANGE CONTROL

Any changes to the QA scope, acceptance criteria, schedules, sampling plans or standards shall be documented in a change control request and approved by authorized representatives of both parties prior to implementation.

PAYMENT TERMS

In consideration for the QA services described in this Appendix, Client shall pay Service Provider in accordance with the following terms.

Late payment shall incur interest at a rate of of the outstanding amount per month, or the maximum permitted by law, whichever is lower.

TERM AND TERMINATION

This QA Appendix shall commence on and shall continue until , unless earlier terminated in accordance with this section.

Either party may terminate this Appendix for convenience upon days' prior written notice to the other party. Termination for cause shall be governed by the Master Agreement; material breach of the QA obligations that is not cured within days following written notice shall constitute sufficient cause for termination.

CONFIDENTIALITY

Each party shall maintain in confidence all QA materials, test data, defect logs and reports produced under this Appendix that are designated confidential or that by their nature are confidential, and shall not disclose such materials except as permitted under the confidentiality provisions of the Master Agreement. Confidentiality obligations shall survive for years following termination or expiration of this Appendix.

CORRECTIVE ACTIONS AND REMEDIES

If deliverables fail to meet acceptance criteria, Service Provider shall prepare and execute a corrective action plan within days and shall remedy defects in accordance with the timelines set forth in that plan. Remedies provided herein are in addition to, and not exclusive of, any remedies under the Master Agreement.

INSPECTION AND AUDIT RIGHTS

Client shall have the right to inspect QA artifacts, test environments and defect records during normal business hours upon reasonable notice. Such inspections shall be conducted in a manner that does not unreasonably interfere with Service Provider operations.

GOVERNING LAW

This Appendix shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Appendix, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral, relating to QA services. In the event of any conflict between this Appendix and the Master Agreement, the terms of this Appendix shall control only to the extent they expressly supplement or modify the Master Agreement.

MISCELLANEOUS

Notices required under this Appendix shall be given as specified in the Master Agreement. Any provision held invalid shall be severed without affecting the remainder. Headings are for convenience only and do not affect interpretation.
