What a Quality Assurance Services Agreement Is

A Quality Assurance Services Agreement is a written contract that defines the scope, deliverables, standards, timelines, and responsibilities between an organization that hires QA services and the vendor or team that performs testing, inspection, or validation work. It documents performance criteria, acceptance tests, defect remediation processes, reporting cadence, intellectual property ownership, confidentiality, and payment terms. The agreement also identifies escalation paths, termination conditions, and liabilities tied to inadequate performance. Well-drafted QA agreements reduce ambiguity, set measurable quality targets, and provide the legal basis to enforce remedies if agreed standards are not met.

Why a Formal QA Services Agreement Matters

A formal agreement aligns expectations, assigns risks, and creates measurable acceptance criteria so both parties can evaluate performance objectively.

Why a Formal QA Services Agreement Matters

Who Commonly Uses a Quality Assurance Services Agreement

Organizations that procure testing, inspection, or validation services use this agreement to set technical and commercial terms before work begins.

  • Software teams and product owners procuring manual, automated, or performance testing services.
  • Manufacturing and hardware groups hiring inspection, compliance testing, or supplier quality audits.
  • Outsourced QA vendors, contractors, and independent testing laboratories engaged to deliver measurable test results.

Use this agreement whenever measurable quality outcomes, data ownership, confidentiality, or regulatory obligations must be documented in writing.

Primary Signers and Roles

Client Executive

The client signer is typically a procurement lead, project manager, or department head authorized to accept deliverables, approve payments, and enforce contractual remedies. Their signature binds the client entity to payment, acceptance criteria, and confidentiality obligations.

QA Provider

The provider signer is an authorized company officer or operations manager who accepts scope, warranties, and liability limits and who represents the service provider for operational and compliance matters.

Core Clauses to Include in a Professional Agreement

A comprehensive QA Services Agreement should balance technical detail with clear commercial and legal provisions so that deliverables are measurable and enforceable.

Scope of Work

Define test types, environments, tools, sample sizes, acceptance criteria, and any deliverable formats such as test reports, defect logs, and certificates.

Deliverables & Schedule

Specify milestones, delivery dates, review cycles, turnaround time for fixes, and reporting cadence for status and incident reports.

Pricing & Payment

Detail pricing model (fixed, time-and-materials, per-test), invoicing schedule, expenses, and change order procedures for scope modifications.

Warranties & Remedies

State performance warranties, rework obligations, acceptance testing process, and remedies for failing to meet agreed standards.

Confidentiality & IP

Allocate ownership of test artifacts, protect confidential information, and set terms for return or destruction of data after termination.

Liability & Insurance

Limitations of liability, indemnities, required insurance coverage, and carve-outs for willful misconduct or gross negligence.

Essential Information Fields to Include

Parties: Full legal names
Addresses: Street, city, state, ZIP
Scope: Detailed service description
Term: Start and end dates
Payment: Rates and payment terms
Signatures: Name, title, date

Step-by-Step: Completing the Agreement

Use this checklist to prepare, review, and execute a Quality Assurance Services Agreement without overlooking key operational or legal items.

  • 01
Prepare Scope: Draft measurable test cases and acceptance criteria aligned to product requirements.
  • 02
Estimate Fees: Agree on pricing model, milestones, and payment triggers.
  • 03
Review Legal Terms: Confirm liability limits, IP ownership, confidentiality, and termination rights.
  • 04
Execute and Distribute: Collect signatures, date the document, and provide copies to stakeholders.

How to Set Up an Online QA Agreement Workflow

Configure a digital workflow that reflects review, approval, and testing-stage handoffs to streamline execution and recordkeeping.

Field Configuration
Signing Order Sequential or parallel, set roles for client approver and provider lead
Authentication Email link, SMS code, or stronger MFA where required
Conditional Fields Use conditional clauses to show relevant warranty or SLA blocks
Audit Trail Capture timestamps, IP, and signer identity for compliance

Where to Send and How to Submit the Signed Agreement

Choose submission paths that preserve originals and make execution auditable.

  • Primary Delivery: Send final signed PDF to the client contract administrator's email address.
  • Provider Record: Provider retains an executed copy in its contract repository and shares a copy with operations.
  • Project Folder: Store the agreement, scope attachments, and test reports in a secure project directory.
  • Distribution List: Notify procurement, legal, project manager, and billing contacts of the executed agreement.

Digital Signing and eSubmission Requirements

Use a compliant eSignature platform that supports audit trails, credentialed signer authentication, and secure storage.

  • Document Formats: PDF | DOCX
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security: TLS 1.2/1.3, AES-256

Ensure the platform can meet regulatory or contractual needs such as HIPAA BAA, 21 CFR Part 11 features, or retention for audits.

Typical Timelines and Processing Expectations

Set clear deadlines for delivery, review, and acceptance tests to avoid disputes and keep projects on schedule.

Execution Deadline:

Sign and return within 14 days of issuance

Kickoff:

Begin testing within 7 business days after both parties sign

Interim Reports:

Weekly or biweekly status reports as specified

Acceptance Window:

Client review and acceptance within 10 business days of report delivery

Remediation SLA:

Provider addresses critical defects within 72 hours unless otherwise agreed

Common Mistakes to Avoid

  • Unclear acceptance criteria that leave pass/fail decisions subjective and disputed.
  • Missing change-order procedures, causing scope creep without pricing adjustments.
  • Failing to define data ownership for test artifacts and reproduction steps.
  • Using ambiguous service levels that omit response times for critical issues.

Penalties and Risks of an Incorrect or Incomplete Agreement

Payment Disputes: Delayed payments and invoicing disputes
Scope Creep: Unbilled work and degraded ROI
Regulatory Risk: Noncompliance for regulated testing
IP Loss: Ambiguous ownership of test artifacts
Operational Delay: Missed release dates due to unclear remediation SLAs
Legal Exposure: Expanded liability without proper limits

Real-World QA Agreement Examples

Two short examples show how organizations tailor agreements for software and hardware testing.

Software QA Engagement

A mid-size SaaS company contracted a vendor for automated and manual regression testing

  • Agreement defined 300 nightly test runs and 0.5% acceptable escape rate
  • The contract required a weekly defect dashboard, IP ownership retained by the client, and rework at no additional charge for missed SLAs, ensuring faster releases and clear accountability.

Hardware Inspection Program

A manufacturer hired a third-party lab for incoming component inspections

  • The lab provided sampling plans and nonconformance criteria
  • The contract required certified reports, traceability of inspected lots, and corrective action timelines; these specifics reduced production stoppages and clarified cost responsibility for rejected batches.
