QUALITY INN LEASE AGREEMENT

DEFAULT, REMEDIES, AND TERMINATION

Tenant shall be in default if Tenant fails to pay rent when due, violates any material provision of this Lease, or becomes insolvent. On default, Landlord may provide written notice and, if Tenant does not cure within the period required by law or within the time specified herein, Landlord may terminate the Lease, pursue damages, and exercise other remedies at law or equity, including but not limited to reentry and recovery of rent accruing through the end of the Lease term.

CASUALTY; CONDEMNATION

If the Premises are substantially damaged by fire or other casualty, Landlord may elect to repair or terminate this Lease by notice. In the event of eminent domain taking of the whole or a substantial portion of the Premises, either party may terminate the Lease and the parties shall be entitled to any separate awards for their respective interests.

ASSIGNMENT AND SUBLETTING

Tenant shall not assign, transfer, or sublet the Premises without Landlord's prior written consent, which consent shall not be unreasonably withheld. Any assignment or subletting without consent shall be void and grounds for termination.

ATTORNEYS' FEES AND COSTS

The prevailing party in any legal action to enforce the terms of this Lease shall be entitled to recover reasonable attorneys' fees, court costs, and other expenses.

GOVERNING LAW; ENTIRE AGREEMENT

This Lease shall be governed by the laws of the state in which the Premises are located. This instrument contains the entire agreement between the parties and supersedes all prior negotiations and agreements. No modification shall be effective unless in writing and signed by both parties.

NOTICES

All notices required under this Lease shall be in writing and delivered to the addresses set forth above by certified mail, hand delivery, or other verifiable method. Notices shall be effective upon receipt.

MISCELLANEOUS
