What the Quarterly Exterior Agreement Covers

The Quarterly Exterior Agreement is a written service contract used by property owners, managers, and exterior maintenance contractors to schedule, describe, and authorize recurring exterior work every three months. Typical services include landscaping, facade cleaning, seasonal inspections, snow and ice management, exterior lighting checks, and minor repairs. The agreement sets scope, deliverables, inspection standards, payment terms, insurance and indemnity provisions, access permissions, and any required permits or licensure. It aligns expectations, provides a record for billing, and documents acceptance criteria for each quarterly visit.

Why a Quarterly Exterior Agreement Matters

Use a Quarterly Exterior Agreement to reduce disputes, ensure consistent maintenance, and establish clear payment and inspection cycles. It documents responsibilities, insurance coverage, and remedies for deficiencies while simplifying budgeting and regulatory compliance for recurring exterior services.

Why a Quarterly Exterior Agreement Matters

Who Typically Completes This Agreement

Quarterly Exterior Agreements are completed by property managers, exterior maintenance contractors, building owners, and facilities teams overseeing recurring outdoor services.

  • Property managers — schedule services, approve scopes, and manage vendor payments.
  • Exterior contractors — define deliverables, confirm access, and document completed work.
  • Commercial and residential owners — verify insurance, payment terms, and acceptance criteria.

Use the agreement to align all parties before services begin and to create a clear audit trail for recurring exterior work.

Core Sections Every Quarterly Exterior Agreement Should Include

A professional Quarterly Exterior Agreement should clearly define scope, schedule, payment, insurance, inspection criteria, and dispute resolution to minimize operational and legal risks for recurring exterior services.

Scope of Work

Describe each quarterly task in measurable terms (for example, mowing height, power-wash PSI, inspection checklist). Specify frequency, seasonal adjustments, and any materials supplied by contractor or owner to prevent ambiguity.

Schedule & Service Window

List exact quarterly dates or a repeating schedule, allow service windows, include rescheduling procedures for severe weather or access restrictions, and state notification requirements for postponements.

Compensation & Billing

Define fixed fees or unit rates, invoicing cadence, late payment interest, allowance for change orders, and whether retainers or deposits apply. Clarify responsibility for permit or disposal fees.

Insurance & Indemnity

Require contractor insurance types and limits, name the owner as additional insured when required, include indemnity language for third-party claims and property damage caused during work.

Acceptance & Inspection

Provide acceptance criteria, inspection timelines after each visit, correction windows for deficient work, and criteria for withholding payment or invoking remedies.

Termination & Renewal

Specify initial term, automatic renewal conditions, early termination rights, cure periods for breaches, and post-termination responsibilities such as final cleanup or holdbacks.

Required Information to Include

Contractor License: License number and issuing state.
Insurance Certificate: Policy types, limits, and effective dates.
Contact Information: Full name, phone, email, mailing address.
Scope Appendix: Detailed task lists and material specs.
Payment Terms: Rates, invoicing, and payment windows.
Access & Keys: Access instructions, gate codes, and keys.

Typical Timelines and Response Windows

Key dates and response windows for quarterly services, invoice processing, and dispute resolution are summarized below.

Quarterly service window:

Specify quarter start/end dates or fixed monthly schedule.

Inspection response time:

Contractor corrects defects within 7–14 days of notice.

Invoice due date:

Net 30 from invoice date unless otherwise agreed.

Renewal notice:

Either party gives 30–60 days written notice before renewal.

Retention of records:

Keep signed agreement and job reports for minimum 3 years.

Common Mistakes to Avoid

  • Vague scope descriptions lead to disputes over performed tasks, causing repeated corrections and withheld payments; detail measurable standards to avoid ambiguity.
  • Failing to verify contractor licensure and insurance often leaves owners exposed to liability; always request certificates and verify insurer contact information.
  • Omitting access instructions or failing to coordinate on-site access can delay quarterly visits; include gate codes, contact windows, and parking instructions.
  • Using inconsistent dates or ambiguous renewal language complicates billing cycles; use clear MM/DD/YYYY dates and explicit renewal or termination steps.

Penalties and Risks of an Incorrect Agreement

Late Payment: Late fees, interest accrual.
Withheld Payment: Dispute delays revenue.
Uninsured Damage: Owner assumes repair costs.
Licensing Violations: Fines and project stop-orders.
Tax Misclassification: 1099 backup withholding risk.
Data Exposure: Breach of contact records.
