Recitals

WHEREAS, Buyer requires the purchase and delivery of quince fruit and related goods in accordance with the specifications, quantities and delivery schedule set forth in this Purchase Order Contract; and

WHEREAS, Seller represents that it is duly authorized and has the capacity, facilities and expertise to supply and deliver such quince fruit and related goods in conformance with the terms of this Contract; and

WHEREAS, the parties desire to record their agreements and obligations in a binding contract to govern the purchase and sale transactions described herein.

Either party may terminate this Contract for material breach if the breaching party fails to cure within days after written notice. Either party may terminate for insolvency or bankruptcy of the other party upon written notice.

Termination Without Cause: Either party may terminate this Contract without cause upon days' prior written notice to the other party. Termination shall not relieve either party of obligations incurred prior to the effective date of termination.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other, whether written, oral or electronic, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information.

Obligation: Each party shall keep confidential and shall not disclose Confidential Information to any third party except as required by law or to its employees and contractors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Contract. The receiving party shall use Confidential Information only for the performance of this Contract.

Warranties and Liability

Seller warrants that goods delivered under this Contract shall (a) conform to the specifications set forth herein, (b) be of merchantable quality and free from material defects, and (c) comply with all applicable laws. THE WARRANTIES SET FORTH HEREIN ARE THE EXCLUSIVE WARRANTIES PROVIDED BY SELLER. EXCEPT AS EXPRESSLY PROVIDED, SELLER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Limitation of Liability: Except for claims arising from willful misconduct or gross negligence, neither party shall be liable to the other for special, incidental or consequential damages. The total liability of either party for any claim arising out of this Contract shall not exceed the total purchase price actually paid by Buyer under the specific Purchase Order giving rise to the claim.

Taxes and Insurance

Unless otherwise stated, the purchase price does not include taxes. Buyer shall be responsible for applicable sales and use taxes, unless Seller is required to remit such taxes. Seller shall maintain insurance customary for suppliers of perishable goods, including product liability coverage, and shall provide certificates upon reasonable request.

Governing Law and Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law rules. Any dispute arising under this Contract shall be resolved by the courts located in that state, and the parties submit to personal jurisdiction therein.

Entire Agreement

This Purchase Order Contract, together with any attachments or referenced specifications, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendments or modifications must be made in writing and signed by authorized representatives of both parties.

Notices under this Contract shall be in writing and delivered to the addresses set forth above or to such other address as either party designates by notice. Delivery by certified mail, return receipt requested, or by nationally recognized courier service shall be sufficient.
