Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within days after written notice. The Client may cancel prior to the event subject to the cancellation schedule below.

CONFIDENTIALITY

The Parties agree that all non-public information disclosed in connection with this Agreement relating to event budgets, vendor pricing, guest lists, and proprietary planning methods is Confidential Information. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party, or information lawfully obtained from a third party. The receiving Party shall protect Confidential Information with the same degree of care used to protect its own confidential information, but in no event less than reasonable care. This obligation shall survive termination of this Agreement for a period of three (3) years.

INSURANCE AND INDEMNIFICATION

Provider shall maintain general liability insurance and, where applicable, liquor liability insurance, naming the Client as an additional insured for the event. Provider shall indemnify and hold harmless the Client from claims, liabilities, losses, and expenses arising out of Provider's negligence or willful misconduct in the performance of services. Client shall indemnify Provider for claims arising from Client's negligence or the conduct of guests.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or addenda signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification must be in writing and signed by both Parties.
