Standard Terms and Conditions

Price Commitment: Seller warrants that the Total Price stated above is a firm quotation for the goods and services described and will be honored if Client accepts this Quote in writing and returns a signed Agreement on or before the valid until date. Any acceptance after that date is subject to Seller's prior written confirmation.

Changes and Additional Work: Any changes to scope requested by Client after acceptance shall be documented as a written change order and may result in an adjustment to price and delivery schedule. Seller shall not commence change order work until change order is executed by both parties.

Taxes and Duties: Quoted prices exclude taxes, duties, and similar governmental charges unless expressly stated. Client is responsible for all applicable taxes, except taxes on Seller's net income.

Warranty and Remedies: Seller's warranty, if any, is limited to the express warranty provided in writing with the goods or services. Except as set forth in that warranty, Seller disclaims all other warranties, express or implied. Seller's liability shall not exceed the amount paid by Client under this Agreement for the goods or services giving rise to the claim.

Default and Remedies: Failure to pay undisputed amounts when due shall constitute default and entitle Seller to suspend performance, charge interest at the rate specified in payment terms, and recover collection costs and reasonable attorneys' fees.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties below, without regard to conflict of law principles.

Client acknowledges that acceptance of this Quote is expressly conditioned on acceptance of these terms. By signing below, Client and Seller authorize performance and agree that this Agreement, together with any attachments or executed change orders, constitutes the entire agreement between the parties regarding the quoted goods and services.
