Racing Pit Row Agreement

This Racing Pit Row Agreement (the Agreement) is made between:

Recitals

WHEREAS, Organizer operates the racing event known as to be conducted at ; and

WHEREAS, Team desires the temporary use of pit row space and related services on the dates of through in accordance with Organizer's pit operations and safety rules; and

WHEREAS, the parties intend to document the terms under which pit row space and services will be provided.

Scope of Work

Organizer grants Team a temporary license to occupy the designated pit row area and to perform pit operations limited to the activities described below. Team shall operate at its own risk and shall comply with all safety, environmental, and operational directives issued by Organizer and officials.

Payment Terms

In consideration for the licenses and services set forth herein, Team shall pay Organizer the sum specified below under the terms set forth.

Term and Termination

This Agreement commences on and terminates on , unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon delivery of written notice to the other party no fewer than days prior to the intended termination date. Organizer may immediately suspend Team's pit access for failure to comply with safety rules, payment obligations, or for conduct that threatens safety or property.

Insurance, Indemnity and Compliance

Team shall obtain and maintain, at its expense, policies of insurance as required by Organizer and shall provide certificates of insurance upon request. Team shall indemnify, defend and hold Organizer and its agents harmless from any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of Team's use of pit row, except to the extent caused by Organizer's gross negligence or willful misconduct.

Confidentiality

Each party shall treat as confidential all non-public business information disclosed by the other party in connection with this Agreement, including pricing, pit layout plans, technical data and operations procedures. Confidential information shall not be disclosed to third parties except to employees, contractors or service providers with a demonstrable need to know and who are bound by confidentiality obligations at least as restrictive as those herein. Confidential obligations do not apply to information that is publicly known through no breach by the receiving party or is lawfully required to be disclosed by judicial or regulatory process, provided prior notice is given when permitted.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles.

Entire Agreement

This Agreement, together with any schedules or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
