RAIL TRANSPORT AGREEMENT

WHEREAS, Carrier is a rail transportation provider engaged in the carriage of freight by rail and possesses the personnel, equipment and authority necessary to perform rail transportation services; and

WHEREAS, Shipper requires transportation of goods by rail pursuant to the terms and conditions set forth in this Agreement and desires to engage Carrier to transport such goods on the routes and schedules agreed by the Parties; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows.

Scope of Work

Carrier shall provide rail transportation, interchange, and related services for shipments tendered by Shipper in accordance with the routing, equipment type and schedules agreed by the Parties. Carrier's obligations include loading or unloading only when expressly agreed in writing and noted in shipping documentation.

Performance Standards and Scheduling

Carrier shall exercise commercially reasonable efforts to meet agreed pickup and delivery windows and to notify Shipper promptly of delays. Carrier shall maintain rolling stock and equipment in compliance with applicable safety and regulatory standards and will not sub-contract rail carriage without Shipper's prior written consent where such consent is expressly required by applicable law.

Payment Terms

Shipper shall pay Carrier the charges for transportation and agreed ancillary services as set forth below. Charges are exclusive of taxes unless otherwise specified.

Liability, Insurance and Indemnification

Carrier shall be liable for loss, damage or delay to goods only to the extent provided by applicable law and the terms of this Agreement. Carrier's liability shall not exceed actual proven loss unless otherwise agreed in writing. Carrier shall maintain insurance customary for rail carriers in the industry, including liability coverage for loss and damage to cargo in an amount not less than:

Each Party shall indemnify, defend and hold harmless the other Party from and against any and all claims, liabilities, losses, damages and expenses arising out of the indemnifying Party's negligence, willful misconduct or breach of this Agreement, except to the extent caused by the negligence or willful misconduct of the indemnitee.

Term and Termination

This Agreement shall commence on the Start Date and, unless earlier terminated, shall continue until the End Date or until terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach if the breaching Party fails to cure such breach within the notice period above following receipt of written notice specifying the breach. Either Party may terminate immediately for insolvency, bankruptcy, or regulatory revocation of authority to operate.

Confidentiality

Each Party shall keep confidential and not disclose to third parties any proprietary or confidential information obtained from the other Party in connection with this Agreement, except as required by law or with prior written consent. Confidential information shall not include information that (i) is or becomes public through no fault of the receiving Party, (ii) was in receiving Party's possession before receipt from the disclosing Party, or (iii) is independently developed by the receiving Party.

Force Majeure

Neither Party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, strikes, acts of terrorism, or severe weather. The affected Party shall give prompt written notice of any force majeure event and shall use reasonable efforts to mitigate the effects.

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below (or to such other address as the receiving Party may designate in writing).

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with any attachments and referenced rate schedules, constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both Parties.

Severability

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect, and the Parties shall negotiate in good faith a substitute provision that preserves, to the extent possible, the original intent of the Parties.
