Rashid's Business Services Agreement

This Business Services Agreement (the Agreement) is entered into as of (Effective Date) by and between Client Name: with address: and Service Provider Name: with address: .

RECITALS

WHEREAS, Client desires to retain Service Provider to perform certain business services described herein and Service Provider represents that it has the experience and capability to provide such services; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will perform the services and Client will compensate Service Provider; and

WHEREAS, the parties desire to memorialize their agreement in writing.

SCOPE OF WORK

Service Provider shall perform the services described below (Services). Service Provider shall furnish all labor, materials, equipment and supervision necessary to complete the Services in a professional and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Client shall pay Service Provider for Services performed in accordance with the following terms. All amounts are in U.S. dollars unless otherwise indicated.

Service Provider shall submit invoices to Client. Client shall pay undisputed invoices within days of receipt. Disputed amounts shall be handled in good faith and resolved promptly.

Any overdue amount shall accrue interest at the lesser of % per month or the maximum rate permitted by law. In addition, Service Provider may suspend Services upon ten (10) days' written notice for failure to pay undisputed sums.

TERM AND TERMINATION

The term of this Agreement shall commence on the Effective Date and, unless earlier terminated as provided herein, shall continue until the completion of the Services or until , whichever occurs first.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any term of this Agreement and fails to cure such breach within days after receipt of written notice. Either party may also terminate for convenience upon days' prior written notice to the other party.

Upon termination, Client shall pay Service Provider for Services performed through the effective date of termination and for any non‑cancellable obligations incurred on Client's behalf.

CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by a party (Disclosing Party) to the other party (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential. Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or agents with a need to know who are bound by confidentiality obligations no less protective than those herein; and (c) protect Confidential Information with at least the same degree of care as it protects its own confidential information, but not less than reasonable care.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was in Receiving Party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by Receiving Party without use of the Disclosing Party's Confidential Information. Upon termination or upon request, Receiving Party shall return or destroy Confidential Information as directed by Disclosing Party and certify in writing that it has complied with this obligation.

ADDITIONAL TERMS

Taxes: Each party shall be responsible for its own taxes arising from performance under this Agreement. Client shall be responsible for any sales, use, or similar taxes imposed on payments made to Service Provider, unless Service Provider provides a valid exemption certificate.

Independent Contractor: Service Provider is an independent contractor. Nothing in this Agreement creates an employment, joint venture, partnership, or agency relationship between the parties.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any appendices, statements of work, or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Waiver of any breach shall not be deemed a waiver of any subsequent breach. Notices required hereunder shall be in writing and delivered to the addresses set forth above unless a party updates its address in writing.
