What a Rate Hold Agreement Is and when it matters

A Rate Hold Agreement is a written commitment from a lender to lock an interest rate for a borrower for a defined period while the borrower completes loan conditions or closing steps. It documents the locked rate, lock period, any float-down or extension options, and applicable fees or penalties for failure to close on time. Rate hold agreements are commonly used in mortgage and commercial lending to reduce borrower rate exposure between loan approval and funding, and they form part of the loan documentation and underwriting record.

Why a clear Rate Hold Agreement protects both parties

A concise Rate Hold Agreement limits uncertainty by fixing the lender’s rate offer and establishing deadlines, fees, and responsibilities in writing.

Why a clear Rate Hold Agreement protects both parties

Who typically completes or signs a Rate Hold Agreement

Lenders, mortgage brokers, loan officers, borrowers, and closing agents commonly prepare or receive rate hold agreements in mortgage and commercial finance transactions.

  • Lenders and loan officers: Record the locked rate, expiration, and any lender fees or conditions for funding.
  • Borrowers or authorized signers: Acknowledge acceptance of terms, lock period, and potential extension or float-down fees.
  • Title/closing agents: Retain the executed agreement as part of closing documents and loan delivery packages.

Keep executed copies with loan files for underwriting, audit, and post-closing retention requirements.

Core elements to include in a professional Rate Hold Agreement

A well-drafted Rate Hold Agreement combines precise rate language, time limits, fee mechanics, applicable loan identifiers, and signature blocks so the commitment is enforceable and auditable.

Locked Rate

Exact interest rate and any points or fees included in the locked offer; specify whether rate is nominal or APR.

Lock Period

Beginning and end dates of the rate hold expressed in MM/DD/YYYY; include time-of-day if relevant to cutoff rules.

Extension / Float-down

Describe conditions, costs, and timing for an extension or float-down and whether lender discretion applies.

Fees and Penalties

List nonrefundable lock fees, extension fees, or penalties for borrower-canceled lock or failed closing.

Loan Identifiers

Include loan application number, property address, borrower legal name, and lender contact for unambiguous tracking.

Signature Blocks

Spaces for borrower(s), lender representative, and date; include printed name, title, and notarization if required.

Step-by-step: Completing and executing a Rate Hold Agreement

Follow these four essential steps to prepare and finalize the agreement correctly.

  • 01
Prepare Agreement: Populate loan ID, borrower details, locked rate, and dates.
  • 02
Review Terms: Confirm fees, float-down options, and extension mechanics with all parties.
  • 03
Obtain Signatures: Collect signatures from borrower and authorized lender representative.
  • 04
Store and Distribute: Provide copies to borrower, lender file, and closing agent.

Common deadlines and timing expectations in a rate hold

Rate holds contain multiple time-sensitive dates; track each to avoid automatic expiration or additional fees.

Lock Effective Date:

The date the rate becomes guaranteed; obligations begin

Lock Expiration:

Final date/time before lock expires and pricing may change

Extension Request Deadline:

Latest date to request an extension under written terms

Float-down Cutoff:

Last date to exercise float-down if permitted

Closing Date:

Scheduled funding date that must occur before expiration

Key milestones from lock to funding

Track these sequential stages to monitor compliance with the lock timeline and lender requirements.

01

Lock Issued

Lender documents the locked rate and sends agreement to borrower

02

Conditions Cleared

Underwriting conditions satisfied before closing

03

Extension or Float Decision

Parties decide whether to extend, float down, or proceed

04

Funding/Close

Loan funds and the locked rate is applied

Common preparation errors to avoid

  • Using abbreviated or inconsistent borrower names that do not match ID or loan application, causing verification failures.
  • Omitting a clear expiration time (time zone or time of day), which creates disputes over whether the lock lapsed.
  • Failing to state whether fees are refundable or credited at closing, leaving unclear borrower financial exposure.
  • Not documenting extension mechanics or approval authority, resulting in ad hoc decisions and inconsistent pricing outcomes.

Penalties and legal risks of an incorrect or missing Rate Hold Agreement

Pricing Exposure: Borrower pays higher rate
Dispute Costs: Increased legal or settlement expense
Funding Delays: Closing postponed; may incur fees
Regulatory Risk: Compliance review findings
Recordkeeping: Audit failures if missing
Consumer Claims: Potential contract or disclosure suits
