What a Rate Term Agreement Is and When It Applies

A Rate Term Agreement is a written contract that records the agreed interest rate, duration, and key economic terms between parties for a loan, financing commitment, or rate lock. It defines the effective date, rate type (fixed or adjustable), term length, prepayment or adjustment mechanics, and any conditions that trigger rate changes. The document may also allocate fees, costs, and responsibilities for funding, and it typically references governing law and remedies for breach. Properly completed, the agreement provides a clear record of the parties’ pricing expectations and enforcement rights.

Why a Clear Rate Term Agreement Matters

A precise Rate Term Agreement reduces ambiguity about pricing, protects parties from unexpected rate changes, and documents repayment and adjustment mechanics for audits or disputes under applicable contract law and ESIGN/UETA rules.

Why a Clear Rate Term Agreement Matters

Who Typically Prepares and Signs a Rate Term Agreement

Lenders, borrowers, financial intermediaries, and their legal or compliance teams commonly prepare or approve Rate Term Agreements before funding or rate lock confirmation.

  • Commercial lenders or banks completing loan terms and documenting rate locks for corporate borrowers.
  • Corporate treasury or finance teams agreeing to loan pricing and term schedules on behalf of a company.
  • Mortgage originators and brokers documenting borrower interest rate locks and fee allocations prior to closing.

Responsibility for final signature usually lies with an authorized signatory who can bind the organization under the chosen governing law.

Core Elements to Include in a Professional Agreement

A complete Rate Term Agreement organizes the deal into clear sections so parties and downstream processors can confirm pricing, obligations, and contingencies without later interpretation disputes.

Effective Date

The specific date the agreement takes effect and the rate lock begins; determines timing for periodic calculations and statute-of-limitations considerations.

Rate Description

Exact interest rate, whether fixed or variable, index and margin (for variable rates), rounding rules, compounding frequency, and how periodic adjustments are calculated.

Term Length

Start and end dates or number of months/years; include early termination conditions, renewal options, and related fees if applicable.

Payment Mechanics

Schedule of payments, accrual conventions (30/360, ACT/365), payment due dates, and treatment of partial payments or rounding differences.

Fees and Costs

Detail origination fees, prepayment penalties, default interest, third-party costs, and which party bears each expense.

Governing Law

Designate the state law that will interpret the agreement and the forum for disputes; impacts enforceability and available remedies.

Step-by-Step: Completing and Executing the Rate Term Agreement

Follow these practical steps to prepare a clear, enforceable Rate Term Agreement and reduce processing delays.

  • 01
Gather data: Collect loan ID, parties’ legal names, and supporting underwriting documents.
  • 02
Draft terms: Enter rate, term, payment schedule, and fees with numerical precision.
  • 03
Review legal: Confirm governing law and remedies with counsel if needed.
  • 04
Sign and retain: Obtain authorized signatures and store the executed copy securely.

Typical Workflow from Draft to Delivered Agreement

A common end-to-end workflow ensures all parties see the same terms and that signatures and audit data are preserved for compliance and auditability.

  • Prepare draft: Originator creates the draft and fills required fields.
  • Internal approval: Compliance or credit team verifies terms and countersigns internally.
  • External sign-off: Borrower or authorized agent signs and returns the document.
  • Archive: Final executed copy and audit trail are stored for retention requirements.

Digital Workflow Settings to Configure

When building an online signing workflow, configure fields and authentication to match your risk tolerance and regulatory obligations.

Field Configuration
Signer Authentication Email link, SMS code, or multi-factor authentication depending on risk.
Field Validation Use numeric format, date masks, and required checks where appropriate.
Audit Trail Capture timestamps, IP addresses, and action history for each signer.
Document Retention Enable secure archival and export formats (PDF/A) for compliance.

Digital Signing and Submission Requirements

Use a secure eSignature platform that supports industry-standard encryption, audit trails, and the authentication level your workflow requires.

  • Authentication: Email, SMS, or stronger MFA options
  • Document formats: PDF, DOCX, or HTML support
  • Integrations: CRM and cloud storage connectors

Key Dates and Timing Considerations

Track the agreement’s effective date, funding deadlines, notice windows, and any rate adjustment dates to avoid missed obligations or losses.

Effective Date Entry:

Set as MM/DD/YYYY; determines accrual and rate lock start.

Funding Deadline:

Specify the last date to fund to preserve the locked rate.

Adjustment Notice:

State how many days’ notice is required for rate changes.

Prepayment Window:

Define notice and penalty terms for early payoff.

Record Retention:

Keep signed copies for statutory periods listed elsewhere.

Milestones from Agreement to Post-Execution Recordkeeping

A sequenced set of milestones helps teams coordinate approvals, funding, signature capture, and archival with clear handoffs.

01

Draft Completion

Finalize terms and supporting exhibits before routing for approval.

02

Internal Approval

Risk and credit clearances must occur prior to external send.

03

Execution

Obtain all required signatures and record timestamps and audit data.

04

Archival

Store executed file and audit trail in secure retention system.

Common Preparation Mistakes to Avoid

  • Incomplete party names or inconsistent entity names between documents that delay processing or cause payment rejections.
  • Vague rate language (for example, omitting index or rounding rules) that creates disputes over calculation of periodic interest.
  • Missing signature authority where a signatory lacks documented power to bind the organization, risking non-enforceability.
  • Failure to document fees, funding deadlines, or prepayment penalties clearly, which can lead to billing disputes and reputational risk.

Consequences of an Incorrect or Incomplete Agreement

Breach Claims: Counterparties may assert breach of contract or seek rescission.
Funding Delays: Inaccurate deadlines or signatures can postpone funding.
Regulatory Exposure: Noncompliance with consumer disclosure rules may trigger penalties.
Tax Impacts: Incorrect reporting of fees or interest affects tax filings.
Reputational Harm: Contract disputes can damage lender-borrower relationships.
Operational Costs: Remediation and legal fees increase transaction costs.
