What a Ratification Agreement Is and When It Applies

A Ratification Agreement is a legal instrument used to confirm, adopt, or validate prior actions, contracts, or signatures that were taken on behalf of a party without prior formal authority. It restates the prior act, clarifies the scope of approval, and establishes that the action is effective as if it had been originally authorized. Common uses include validating previously executed contracts, correcting procedural defects, and confirming agent acts. The document typically identifies the prior act, the parties involved, the effective date, and the confirming language that creates a binding record of retroactive approval.

Why Use a Ratification Agreement

A Ratification Agreement reduces uncertainty by documenting consent and attribution for past acts, lowering litigation risk and clarifying obligations. It provides a written record that supports enforcement, mitigates defenses based on lack of authority, and can simplify downstream transactions where parties require confirmed authority.

Why Use a Ratification Agreement

Who Typically Prepares and Signs a Ratification Agreement

Organizations and individuals use ratification agreements when prior actions need formal approval to preserve contracts or clarify authority before further performance.

  • Corporate boards and officers who confirm decisions made by subordinate managers or agents.
  • Attorneys or trustees who validate prior legal acts or contract terms for estate or trust administration.
  • Property owners or title agents who ratify recording-related corrections, deeds, or prior conveyances.

The agreement should be reviewed and signed by the party with ratifying authority and delivered to affected counterparties to complete the record and reduce dispute risk.

Core Elements to Include in a Professional Ratification Agreement

A clear, concise ratification includes background facts, explicit ratifying language, effective date, identification of the act ratified, and signature blocks with authority statements to avoid ambiguity and strengthen enforceability.

Recitals

Short factual background describing the prior act, date, and circumstances so the reason for ratification is clearly recorded and unambiguous.

Ratification Clause

Explicit language stating that the prior act is confirmed, approved, and deemed effective as of the original date or as of the effective date chosen.

Scope

Describe precisely what is ratified (specific contract sections, transactions, signatures) and any limitations on the scope of approval.

Consideration

If required, state consideration or reasoning for enforceability; for many ratifications, mutual conduct or benefit may suffice.

Signatures

Signature blocks identifying signers, titles, capacity (e.g., President, Trustee), dates, and, where applicable, notarization or witness lines.

Exhibits

Attach the original document, prior signature page, or other exhibits being ratified so the ratification explicitly ties to identifiable records.

Essential Data Points to Record

Party Names: Legal entity names
Original Act: Date and description
Authority Shown: Capacity or role
Effective Date: MM/DD/YYYY
Signatures: Signer name and title
Notarization: Notary block present

Step-by-Step: Completing a Ratification Agreement

Follow these steps to prepare, confirm, and distribute a ratification agreement that minimizes enforceability risks.

  • 01
Gather documents: Collect original contract, signature pages, and related exhibits.
  • 02
Draft recitals: Summarize facts and identify the exact acts to be ratified.
  • 03
Add ratification clause: State explicit approval language and effective date.
  • 04
Execute and distribute: Obtain signatures, notarize if needed, and send copies to counterparties.

How to Set Up an Online Ratification Workflow

Configure a digital workflow to collect signatures securely, track completion, and retain a full audit trail.

Field Configuration
Upload Document Add final draft PDF with exhibits attached
Place Signature Fields Assign signature, date, and title fields per signer
Authentication Select email, SMS code, or stronger verifier
Save Template Store for reuse with conditional fields

Where to Send the Executed Ratification Agreement

After execution, distribute the ratified agreement to all stakeholders and retain copies in the corporate record system.

  • Counterparties: Send fully executed copies to each affected party
  • Legal Counsel: Provide counsel with executed copy for corporate records
  • Title or Recording Office: If ratifying real estate documents, forward for county recordation
  • Internal Records: Store signed copy in governance or contract repository

Digital Signing and File Format Requirements

Use PDF or DOCX formats for signed ratification agreements; ensure exhibits are embedded or attached and that the final package is tamper-evident.

  • File Formats: PDF/A or DOCX recommended
  • Authentication: Email, SMS code, or KBA available
  • Integrations: CRM and cloud storage connectors

Timing Considerations and Common Deadlines

Track execution dates, delivery deadlines, and any local filing windows that affect recording or public notice obligations.

Execution Date:

Date parties sign; establishes when ratification takes effect

Delivery Window:

Provide executed copies to counterparties promptly, commonly within seven days

Recording Timing:

If a deed is ratified, follow county recording timelines and fees

Contract Performance:

Note any obligations that depend on ratification before performance

Retention Trigger:

Start retention from the execution date for recordkeeping

Common Mistakes to Avoid

  • Vague scope language that does not identify the specific prior acts or documents being ratified, leading to enforceability disputes.
  • Using initials or incomplete signature blocks instead of full names, titles, and dated signature lines, which can impair attribution.
  • Failing to attach the original document or signature page as an exhibit, making it difficult to verify what was ratified.
  • Ignoring jurisdictional requirements for notarization or witnesses where recording or third-party reliance requires authentication.

Risks and Consequences of an Improper Ratification

Unenforceability: Agreement may be invalid
Liability Exposure: Third-party claims may arise
Recording Rejection: County may refuse filing
Tax Impact: Incorrect reporting risks penalties
Contract Disputes: Counterparties may contest scope
Professional Fees: Increased attorney costs
