What a Reaffirmation Business Agreement Is

A Reaffirmation Business Agreement is a written document in which one or more parties explicitly confirm, continue, or recommit to obligations, rights, or terms from a prior commercial arrangement. It is commonly used when a business relationship is continuing after a corporate change, assignment, restructuring, or when parties agree to restate terms to remove ambiguity. The agreement clarifies existing liabilities, payment terms, scope of services, and effective dates so that all signatories and third parties have a single authoritative record of ongoing commitments and expectations.

Why a Reaffirmation Business Agreement Matters

This agreement reduces ambiguity, preserves enforceability of prior commitments, and creates a clear record for third parties, lenders, and regulators. It helps avoid disputes about whether obligations continue after corporate events and supports contractual continuity where performance or payment streams must be maintained.

Why a Reaffirmation Business Agreement Matters

Who Typically Completes a Reaffirmation Business Agreement

Parties completing this agreement should ensure authorized signatories execute it and that supporting documentation (assignments, board minutes, or trustee consents) accompanies the signed agreement.

  • Lenders and creditors confirming continued repayment obligations after corporate restructuring or asset transfers.
  • Mergers and acquisition teams restating contract responsibilities to preserve operational continuity.
  • Service providers and clients confirming scope and payment terms following assignment or novation.

Who Signs and Why

Authorized Officer

A corporate officer or authorized signatory typically signs for a business entity. That person should have written or board-approved authority to commit the company to continued obligations and must confirm signatory authority in accompanying corporate resolutions or power of attorney documentation.

Creditor Representative

For reaffirmations tied to loans or credit, a creditor's authorized representative executes to accept continued payment terms. The representative should be able to verify account numbers, collateral descriptions, and any amendments that affect lender rights or security interests.

Core Sections Found in a Professional Reaffirmation Business Agreement

Full legal names and entity types for each signatory; include state of formation and any relevant identification such as EIN or registration number.

Where to Send or File an Executed Agreement

After execution, distribute signed copies to internal records, legal counsel, lenders, and any counterparty representatives, and file with registries only when required.

  • Internal Records: Store the executed PDF in company records repository.
  • Legal Counsel: Send for opinion or retention.
  • Lenders and Creditors: Provide copies for loan file updates.
  • Regulatory Filings: File only if statute or contract requires public record.

Typical Timelines and Deadlines to Expect

Key dates include the execution deadline, effective date, and any lender or regulatory acceptance timelines that may affect enforceability or lien priority.

Execution Deadline:

Set by parties; often 30 days from delivery.

Effective Date:

Specified in the agreement; governs obligations.

Lender Acceptance:

Lenders may require 7–30 days to process consents.

Filing Requirements:

If filing is required, county or state deadlines vary.

Record Retention Start:

Retention obligations begin on effective date.

Common Preparation Mistakes to Avoid

  • Using trade or DBA names instead of the entity's legal name, causing enforceability and payment routing problems.
  • Failing to attach or reference the original agreement or relevant exhibits, which creates ambiguity about what is being reaffirmed.
  • Allowing unauthorized signatories to execute the agreement without written board approval or power of attorney.
  • Neglecting to set the effective date clearly, which can lead to disputes over when obligations resume or terminate.

Risks and Consequences of Errors

Contract Voidance: Possible
Tax Exposure: Backup withholding may apply
Regulatory Noncompliance: Industry fines
Lien Priority Loss: Security may be impaired
Litigation Risk: Disputes likely
Reputational Harm: Counterparty trust damaged
