What a Real Estate Advisory Agreement Is and when it applies

A Real Estate Advisory Agreement is a contract in which an advisor, consultant, or brokerage provides professional guidance related to property transactions, development, valuation, or portfolio strategy. The agreement sets the scope of services, deliverables, compensation, term, and confidentiality expectations between the advisory party and the client. It is commonly used by property owners, investors, developers, lenders, and brokerages to document advisory relationships before specific transactions or long-term engagements occur. Properly drafted, the agreement reduces ambiguity about roles, preserves fee arrangements, and helps allocate liability among the parties.

Why using a formal advisory agreement matters

A written Real Estate Advisory Agreement clarifies scope, payment terms, and deliverables, reducing disputes and supporting enforceability in case of disagreement.

Why using a formal advisory agreement matters

Core components to include in a professional advisory agreement

A complete agreement combines operational detail with legal protections to align expectations and limit liability for both advisor and client.

Parties

Full legal names and entity types of advisor and client, including business addresses and contact points for notices.

Scope

Clear description of advisory services, deliverables, milestones, and any excluded services to avoid scope creep during the engagement.

Compensation

Fee structure (fixed, hourly, retainer, success fee), payment schedule, expense reimbursement, and any performance-based bonuses or holdbacks.

Term and Termination

Effective date, duration, renewal or extension clauses, and termination rights including cure periods and consequences of early termination.

Confidentiality

Common mistakes to avoid when preparing the agreement

  • Omitting consumer-facing consent disclosures where required by ESIGN (15 U.S.C. §7001) for electronic records, especially in financial or healthcare contexts.
