RECITALS

This Agreement sets forth the terms under which Broker engages Affiliate to identify, refer, market, or otherwise assist in procuring prospective purchasers, sellers, tenants or lessors of real property and related services. Affiliate represents and warrants that Affiliate is a duly licensed real estate agent or broker and will perform all services in compliance with applicable laws and Broker policies.

AFFILIATE RESPONSIBILITIES

Affiliate will: (a) maintain all required licenses and E&O insurance; (b) comply with Broker policies and applicable law; (c) disclose any conflicts of interest; (d) obtain written consent before using Broker intellectual property or trade names; and (e) provide accurate client and transaction documentation to Broker promptly upon request.

OWNERSHIP OF LEADS AND RECORDS

All leads, client data, transaction files and marketing materials generated in the course of performance under this Agreement shall be the property of Broker unless expressly agreed otherwise in writing. Affiliate shall retain copies only as expressly permitted and shall deliver originals and records to Broker upon termination.

CONFIDENTIALITY

Affiliate shall not disclose Broker confidential information, client lists, pricing, commissions, or trade secrets except as required to perform duties under this Agreement or by law. Confidential information shall be returned or destroyed upon written request of Broker.

INDEPENDENT CONTRACTOR; TAXES

Affiliate is an independent contractor and not an employee, partner or agent of Broker for any purpose other than the specific referral or marketing services herein. Affiliate is solely responsible for all taxes, withholdings and other statutory obligations arising from compensation paid under this Agreement.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other from and against claims, losses, liabilities, damages and expenses resulting from that party’s willful misconduct, negligence, or breach of this Agreement. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INDIRECT OR EXEMPLARY DAMAGES EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until terminated by either party with days’ written notice. Termination shall not affect obligations accrued prior to termination, including payment for referrals closed after termination if the referral was submitted prior to termination.

DISPUTE RESOLUTION; GOVERNING LAW

Any dispute arising under this Agreement shall be resolved first by good faith negotiation. If unresolved within 60 days, the parties agree to submit the dispute to binding arbitration in accordance with the rules selected by the parties. This Agreement shall be governed by the laws of the state where Broker’s principal place of business is located.

ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
