This Agreement Renewal supplements and renews the existing Agency Agreement dated (Original Agreement). Principal hereby renews and reaffirms the Broker's appointment on the following terms.

Agency Appointment and Authority

Principal appoints Broker as Principal's exclusive agent for the marketing and sale (or lease, if applicable) of the Property during the Renewal Term. Exclusive appointment:

Broker is authorized to list the Property, procure purchasers or tenants, advertise, hold open houses, negotiate offers, and cooperate with other brokers. Broker shall act in Principal's best interests and disclose material facts known to Broker concerning the Property.

Compensation; Commission

Commission on Sale: Principal agrees to pay Broker a commission equal to % of the gross sale price, or a fixed fee of $, whichever is agreed in the offer and acceptance.

Commission on Lease: For leases procured during the Renewal Term, Broker shall earn a commission equal to % of one month's rent, or as otherwise agreed.

Cooperating Broker Split: If a cooperating broker procures the buyer or tenant, Broker shall pay a cooperating broker split of % of the commission earned by Broker.

Commission is earned upon (a) execution of a binding sale or lease contract for the Property as a result of Broker's efforts during the Renewal Term, or (b) closing of such sale or commencement of lease if required by the Original Agreement. Payment is due at closing or as otherwise agreed in writing.

Marketing, Expenses and Advances

Broker may incur reasonable marketing expenses and, if requested, may seek an advance against expenses of $. Principal shall reimburse documented, reasonable expenses within days of invoice.

Disclosure and Condition of Property

Principal represents that to the best of Principal's knowledge the following statements are true and complete:

Principal shall maintain hazard and liability insurance for the Property as required by law and shall hold Broker harmless for claims arising from conditions on the Property except where caused by Broker's negligence. Broker shall maintain errors and omissions insurance in the ordinary course.

Termination; Remedies

Either party may terminate this Renewal for convenience by providing written notice to the other party at least days prior to the intended termination date, subject to payment of all earned commissions and reimbursable expenses. Termination shall not relieve Principal of obligation to pay commission earned prior to termination.

In the event of breach, the non-breaching party shall be entitled to recover reasonable attorneys' fees and costs in addition to other remedies available at law or in equity.

Notices

Notices shall be effective upon personal delivery, overnight courier receipt, or three business days after deposit in the U.S. mail, postage prepaid, to the notice address provided above.

Miscellaneous

Governing Law: This Renewal shall be governed by and construed in accordance with the laws of the state of .

Entire Agreement: This Renewal, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings with respect thereto.
