Inspections and Remedies

Broker shall timely present all offers to Owner. Owner retains the right to accept, reject, or counter any offer. Broker has no authority to modify price, terms, or accept offers without Owner's express consent except as otherwise expressly set forth in writing.

Protection Period and Termination

If, within days following expiration or earlier termination, the Property is conveyed to a purchaser who was procured by Broker during the term of this Authority or during any open period specified herein, Broker shall be entitled to the agreed commission.

This Authority may be terminated by mutual written agreement or by Owner upon provision of written notice to Broker; termination shall not affect Broker's right to commission for transactions where Broker procured a ready, willing and able buyer or otherwise earned commission prior to termination.

Owner Representations; Indemnity

Owner represents that Owner is the lawful owner of the Property and has full right and authority to execute this Authority. Owner warrants that there are no undisclosed material liens, encumbrances, or leases except as stated in writing to Broker. Owner agrees to indemnify and hold Broker, Broker's licensees and employees harmless from any claims, liabilities, losses or damages arising from Owner's misrepresentations or failure to disclose material facts.

Dispute Resolution; Governing Law

This Authority shall be governed by the laws of the state in which the Property is located. Any dispute arising from this Authority shall be resolved by binding arbitration or in a court of competent jurisdiction, at the election of the prevailing party, and the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Miscellaneous

This Authority constitutes the entire agreement between Owner and Broker concerning the subject matter hereof and supersedes all prior agreements and understandings. No amendment shall be binding unless in writing and signed by both parties. Time is of the essence with respect to performance of all obligations to be performed by Owner.

Acknowledgment and Consent
