REAL ESTATE AGENCY CONFIRMATION

This Real Estate Agency Confirmation (the Agreement) confirms the agency relationship and the terms under which the undersigned Client engages the Brokerage to act as the Client's real estate agent with respect to the property described below.

Client hereby appoints Brokerage as the Client's real estate agent for the Property on the terms set forth below. Brokerage accepts appointment and agrees to use reasonable skill, care and diligence in performing the duties described in this Agreement.

If Dual Agency is selected, Client acknowledges that Brokerage may represent both buyer and seller in a transaction. Client's informed consent to dual representation is indicated by checking the box below and by signature at the end of this Agreement.

Brokerage Duties and Client Obligations

Brokerage shall: (a) market the Property as authorized by Client; (b) present all offers in a timely manner; (c) advise Client on negotiation, contract terms, and closing procedures; and (d) keep confidential information confidential except as required by law or necessary to perform services.

Client shall: (a) provide full and accurate information about the Property; (b) allow reasonable access for showings and inspections; (c) promptly review offers and respond in good faith; and (d) disclose to Brokerage any material facts affecting the Property.

Compensation

Client agrees to pay Brokerage compensation as follows. Compensation is earned upon procurement of a ready, willing and able buyer (or upon closing if so specified) as set forth below.

Term and Termination

This Agreement commences on the Effective Date below and continues until the earlier of: (a) the expiration date specified below; (b) closing of a transaction for the Property; or (c) termination by either party in writing in accordance with this Agreement.

Disclosures

The following identifies known conditions relating to the Property. Client must answer truthfully; Brokerage relies on Client's representations for disclosure to prospective buyers and cooperating brokers.

Default, Remedies and Indemnification

If Client materially breaches this Agreement, Brokerage shall be entitled to recover reasonable damages, including the commission specified herein if earned under the terms of this Agreement. Client shall indemnify and hold Brokerage and its agents harmless from claims, liabilities and expenses arising from Client's false or incomplete disclosures or failure to perform client obligations, except to the extent caused by Brokerage's gross negligence or willful misconduct.

Confidentiality; Records

Brokerage will maintain records of its activities and provide copies to Client upon reasonable request. Brokerage shall maintain confidentiality of Client-provided information except as disclosure is necessary to perform services, as required by law, or as authorized in writing by Client.

Conflicts of Interest

Brokerage shall disclose any actual or potential conflicts of interest of which it becomes aware. Client authorizes Brokerage to make such disclosures to prospective parties and to take reasonable steps to manage conflicts in accordance with applicable law.

Governing Law and Entire Agreement

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements and understandings, written or oral, relating to the Property and agency relationship. Any amendment must be in writing and signed by both parties.

By signing below, Client acknowledges receipt of a copy of this Agreement, affirms the accuracy of the information provided, and confirms authorization for Brokerage to act as described herein.
