This Real Estate Agency Contract (the "Agreement") is entered into between:

Seller hereby appoints Broker as Seller's exclusive agent to market and procure a buyer for the Property on the terms set forth in this Agreement. Broker is authorized to list the Property, advertise, cooperate with cooperating brokers, show the Property to prospective purchasers, present and negotiate offers, and accept deposit funds on behalf of Seller as provided in this Agreement.

This Agreement commences on and expires at 11:59 PM on unless earlier terminated in accordance with this Agreement.

Financial Terms

Commission: Seller agrees to pay Broker a commission of of the gross sale price (or a flat fee of if applicable). Commission shall be earned and payable at the earlier of closing or when Seller accepts an enforceable contract for sale of the Property.

Cooperative Broker Compensation: Broker is authorized to offer cooperating brokers compensation of of the sale price. Any reduction of cooperating broker compensation requires Seller's written consent.

Seller Representations and Warranties

Seller represents and warrants that Seller is the sole owner of the Property or is duly authorized to list the Property; that there are no undisclosed liens, encumbrances, leases, or agreements affecting the Property except as disclosed below; and that Seller will provide accurate and complete disclosures required by law and will cooperate with Broker in procuring offers and completing the sale.

Offers, Negotiation, and Acceptance

Broker will promptly present all written offers to Seller. Seller retains final authority to accept or reject any offer. Unless Seller provides written instructions otherwise, Broker is authorized to communicate acceptance, counter-offers, and contingencies to prospective purchasers and their brokers.

Dual Agency and Conflicts

Broker may act as a dual agent only with the informed, written consent of all affected parties. Broker shall disclose any material conflict of interest of which Broker becomes aware and shall comply with applicable law regarding agency duties and disclosure.

Termination and Remedies

This Agreement may be terminated by mutual written consent or by either party for material breach following ten (10) days' written notice and failure to cure. If a sale is closed within a specified protection period after termination due to Broker's procurement of the buyer during the term, Seller remains obligated to pay the commission described herein.

Indemnification and Limitation of Liability

Seller agrees to indemnify and hold Broker harmless from claims, losses, or liabilities arising from Seller's misrepresentations or failure to disclose material facts. Broker's liability for any claim arising out of this Agreement shall be limited to actual damages and shall not include consequential, punitive, or exemplary damages.

All notices required or permitted under this Agreement must be in writing and delivered to the addresses provided below by personal delivery, certified mail, or other method that provides written evidence of delivery.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State in which the Property is located. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs. This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior negotiations and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
