Remedies: Parties agree that Broker's remedies include recovery of earned commission, costs, and reasonable attorney's fees if permitted by law. This remedy is cumulative of other remedies at law or equity.

Indemnification: Client shall indemnify and hold Broker harmless from claims, liabilities, and expenses arising from Client's misrepresentation, failure to disclose material facts, or breach of this Agreement, except for Broker's gross negligence or willful misconduct.

Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located.

Entire Agreement: This document, together with any written addenda signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior negotiations and agreements.
