MAINTENANCE, INSURANCE & RISK OF LOSS

Between the Effective Date and Closing, Seller shall maintain the Property in substantially the same condition as of the Effective Date, reasonable wear and tear excepted. Risk of loss remains with Seller until Closing, unless otherwise agreed in writing. Buyer is advised to secure homeowner's insurance effective at or prior to possession.

DEFAULT & REMEDIES

If Buyer defaults, Seller may retain the earnest money as liquidated damages, pursue specific performance, or seek other remedies allowed by law. If Seller defaults, Buyer may elect specific performance or terminate and receive return of earnest money plus reasonable costs. The prevailing party in any enforcement action shall be entitled to recover reasonable attorneys' fees and costs.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located.

Entire Agreement: This Agreement, together with any written addenda and exhibits signed by the parties, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. Amendments must be in writing and signed by both parties.

NOTICES

All notices shall be in writing and delivered to the addresses provided in this Agreement by personal delivery, certified mail, or recognized courier service. Notices shall be effective upon receipt.

REPRESENTATIONS & CERTIFICATIONS

Each party represents and warrants that it has full authority to enter into this Agreement, that the information provided is true and correct, and that execution of this Agreement will not violate any other agreement or legal obligation.
