No Waiver: The failure of any party to enforce any provision of the Agreement or this Amendatory Clause will not operate as a waiver of that party's right to enforce such provision thereafter.

Default and Remedies: Except as modified herein, the default and remedy provisions of the Agreement shall apply. The parties acknowledge any monetary adjustments required by this Amendatory Clause are equitable and do not constitute a novation of the Agreement.

Each party represents and warrants that: (a) the person signing below has the authority to bind the party; (b) the execution and delivery of this Amendatory Clause does not violate any other agreement to which the party is bound; and (c) the party has read and understands the changes set forth herein.

Delivery of Signatures: This Amendatory Clause may be executed in counterparts and delivered by electronic transmission of a scanned signature or by any other means acceptable to the parties, each of which shall be deemed an original and all of which together constitute one instrument.
