PERMITS, APPROVALS AND SITE CONDITIONS

Developer shall obtain and pay for all building permits, inspections and approvals required for performance of the Work, except as expressly stated otherwise. Owner shall cooperate in securing any necessary entitlements. Any delays caused by failure to obtain permits shall be governed by the delay and extension provisions below.

INSURANCE, BONDS AND WARRANTIES

Developer shall maintain commercial general liability insurance, workers' compensation, automobile liability and builder's risk insurance covering the Work with limits sufficient to protect Owner and Developer. Developer shall furnish certificates, copies of policies, and performance and payment bonds as required by Owner. All warranties shall be in writing and survive final acceptance for a period specified below.

CHANGES, EXTRAS, AND CHANGE ORDERS

No change in the Work shall be effective unless set forth in a written change order executed by Owner and Developer specifying additional cost, if any, and adjustment to the schedule. Developer shall not be entitled to payment for extra work performed without an executed change order.

INSPECTION, ACCEPTANCE, AND COMPLETION

Upon Substantial Completion the parties shall perform joint inspection. Developer shall prepare a punch list of items to be completed or corrected, which shall be completed within a commercially reasonable time. Final payment shall be subject to satisfactory completion of punch list items, receipt of lien releases and final permits.

LIENS, RELEASES AND PAYMENTS

Developer shall promptly pay subcontractors and suppliers and shall provide statutory lien waivers and conditional or unconditional waivers with each progress payment as required by Owner. Developer shall indemnify Owner against any lien claims arising from Developer's performance.

DEFAULT, REMEDIES, AND TERMINATION

If either party materially fails to perform its obligations and such failure continues beyond any applicable cure period, the non-defaulting party may pursue all remedies at law or equity, including specific performance, termination of the Agreement and recovery of damages. Owner may withhold payments in the event of Developer default, subject to applicable notice and cure periods set forth herein.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages and expenses arising out of its negligence, willful misconduct, or breach of this Agreement; provided that indemnity obligations shall be subject to limitations of liability and insurance coverage as set forth in this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Except for actions for injunctive relief, disputes shall be resolved by binding arbitration before a single arbitrator in the county where the Property is located, unless the parties mutually agree otherwise in writing.

NOTICES

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, including all exhibits and approved change orders, contains the entire agreement of the parties with respect to the Project and supersedes all prior negotiations and agreements. Any amendment to this Agreement must be in writing and signed by both parties.
