REAL ESTATE APPOINTMENT

This Real Estate Appointment (the Agreement) is entered into by and between the parties identified below for the purpose of authorizing the Broker to procure a purchaser or tenant for the Property described in this Agreement and to perform the brokerage services set forth herein. The parties acknowledge that this Agreement creates contractual obligations as described in the Terms and Conditions below.

Owner appoints Broker to act as the exclusive broker to list, market, show, and procure a purchaser or tenant for the Property under the terms below. Owner grants Broker authority to advertise, place signage on the Property, cooperate with other brokers, and present offers on Owner's behalf consistent with this Agreement.

Term of Appointment: Commencing on and terminating on unless earlier terminated in accordance with this Agreement.

Broker's compensation shall be:

Commission shall be earned and payable at closing on the sale or lease of the Property to any buyer or tenant procured during the Appointment period or any extension as provided by law. If a sale or lease is effected by Broker or by another broker while this Appointment is in effect, Owner shall pay the commission specified above to Broker.

5. Marketing, MLS & Signage

Owner authorizes Broker to list the Property in the local multiple listing service (MLS), Internet-based marketing platforms, and to place "For Sale" or "For Lease" signage on the Property as reasonably necessary. Owner authorizes Broker to distribute and display property information and photographs for marketing purposes, subject to Owner's reasonable instructions provided in writing.

6. Access, Showings & Safety

Owner shall permit Broker and cooperating brokers reasonable access to the Property for inspections, showings, photography, and marketing. Broker shall use reasonable care to ensure that all persons attending the Property comply with Owner's safety requirements. Broker is not responsible for loss or damage caused by third parties, except for Broker's gross negligence or willful misconduct.

8. Termination; Default; Remedies

This Agreement may be terminated by mutual written consent of the parties or by Owner for material breach by Broker after Broker fails to cure the breach within ten (10) days following written notice. If Owner terminates in breach of this Agreement or refuses reasonable cooperation causing Broker to be unable to perform, Broker is entitled to recover actual damages, including the commission otherwise payable under this Agreement, less any mitigation by Broker.

Broker's sole remedy for Owner's breach shall be to recover the commission provided by this Agreement and any other contractual or equitable remedies available under applicable law. Owner's remedies for Broker's breach include termination and recovery of any proven damages.

9. Confidentiality & Dual Agency

Broker will keep confidential information received from Owner, except as necessary to market the Property, cooperate with other brokers, comply with law, or as otherwise authorized by Owner. Owner acknowledges that Broker may represent other clients and that Broker may act as a dual agent only with the written consent of Owner and any other party whose interests may be adversely affected.

10. Indemnification; Insurance

Owner agrees to indemnify and hold Broker harmless from claims, losses, liabilities, costs, and expenses arising from Owner's representations, undisclosed hazards, or Owner's failure to disclose material facts, except to the extent caused by Broker's gross negligence or willful misconduct. Owner is responsible for maintaining property insurance and shall provide notice to Broker of any coverage limitations that would affect marketing the Property.

11. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

If Owner is signing on behalf of an entity, Owner represents that they have full authority to enter into and bind the entity to this Agreement. Owner affirms that all representations contained in this Agreement are true and correct to the best of Owner's knowledge.

13. Miscellaneous Provisions

Notices required under this Agreement shall be in writing and delivered to the contact information provided above. Time is of the essence as to performance deadlines contained in this Agreement.
