What the Real Estate Approved S&P Document Is

The Real Estate Approved S&P Document is a standardized sale and purchase agreement used to record the terms of a residential or commercial real estate transaction between buyer and seller. It sets out parties, property description, purchase price, deposit, contingencies (inspection, financing, title), closing mechanics, prorations, and remedies for breach. When completed correctly it provides a clear roadmap for escrow agents, title companies, lenders, and attorneys. The form is commonly used by brokers and legal teams as an enforceable contract and can be executed electronically where allowed by ESIGN and applicable state law.

Why an Approved S&P Document Matters in Closings

A properly prepared S&P agreement reduces ambiguity about price, contingencies, and closing obligations, supports title transfer, and creates enforceable rights and remedies. Using an approved template helps ensure necessary disclosures, timeline clarity, and compliance with state real estate rules and federal e-signature law such as ESIGN (15 U.S.C. ch. 96).

Why an Approved S&P Document Matters in Closings

Who Commonly Prepares and Signs This Agreement

The parties named in the document must have authority to bind the entity or individual they represent; accurate signer details and proper authentication streamline closing and recording.

  • Buyers and buyer agents — negotiate price, contingencies, and deposit terms.
  • Sellers and listing agents — confirm disclosures, fixture lists, and seller obligations.
  • Title/escrow officers — verify vesting, manage escrow funds, coordinate recording.

Primary Roles and Responsibilities

Buyer Representative

A licensed buyer agent or attorney reviews financing contingencies, confirms earnest money instructions, and coordinates inspections and lender conditions to meet the closing timeline.

Seller Representative

The listing agent or seller's counsel confirms property disclosures, negotiates repair obligations, prepares deed language for closing, and coordinates with title to cure any recorded exceptions.

Core Sections Every Professional S&P Should Include

A complete S&P agreement organizes transaction mechanics so each party, escrow/title, and any lender can act on the same instructions without ambiguity.

Parties

Full legal names and entity types for buyer and seller, including authority to sign and tax identification where applicable to avoid vesting or tax reporting issues.

Property Description

Complete legal description, address, parcel or lot number, and list of included fixtures and exclusions to prevent post-closing disputes.

Purchase Price

Contract price, deposit schedule, escrow holder instructions, and method of payment including seller credits or adjustments.

Contingencies

Inspection, financing, appraisal, and title contingencies with clear deadlines and cure or termination procedures.

Closing and Transfer

Location or electronic process for closing, conveyance instruments (deed type), proration mechanics, and recordation instructions.

Representations & Remedies

Seller warranties, buyer covenants, default remedies (forfeiture, specific performance), and allocation of closing costs and fees.

How to Configure an Online S&P Workflow

Set up your digital workflow to match the parties, signing order, and authentication level required for closing and recording.

Template Name Use a descriptive title tied to property or MLS number
Signer Order Define sequential or parallel signing based on lender requirements
Authentication Choose email, SMS code, or stronger KBA if required
Required Fields Make names, dates, signatures mandatory to prevent omissions

Digital Signing and Format Considerations

Choose a platform that meets your security and compliance needs, integrates with title/escrow partners, and preserves a tamper-evident final record for closing and recording.

  • File Formats: PDF and DOCX supported
  • Integrations: Works with title and CRM systems
  • Authentication: Supports email, SMS, and advanced options

Where to Send the Completed S&P and Next Steps

After execution, route the agreement to escrow or title, provide copies to lender and brokers, and ensure signed exhibits and disclosures accompany the contract.

  • Send to Escrow: Upload executed agreement and deposit instructions
  • Provide to Lender: Share signed copies and financing addenda
  • Share with Title: Deliver legal description and conveyance instructions
  • Retain Records: Store executed PDF and audit trail securely

Typical Deadlines and Contract Milestones

S&P agreements normally set specific dates for inspections, financing, appraisal, and closing; precise calendar entries reduce disputes.

Inspection Deadline:

Deadline for buyer inspections and repair requests

Financing Contingency:

Date to secure loan approval or deliver waiver

Appraisal Contingency:

Date to resolve appraisal shortfall or renegotiate

Closing Date:

Date for deed delivery, funds transfer, and recordation

Deposit Release:

Conditions and date for earnest money disbursement

Key Transaction Milestones in Sequence

A clear milestone sequence helps all parties track obligations and avoid missed deadlines that can impact closing.

01

Offer Acceptance

Contract executed and effective date begins contingency clocks.

02

Inspection Period

Buyer completes inspections and submits repair requests.

03

Loan Approval

Buyer satisfies lender conditions for funding.

04

Closing and Recording

Funds exchanged, deed signed, and instrument recorded.

Common Preparation Errors to Avoid

  • Using informal names or initials instead of exact legal entity names can invalidate vesting or title issuance.
  • Vague contingency language without specific dates or cure windows often leads to disputes over timely performance.
  • Failing to attach required disclosures or exhibits may permit rescission or delay lender underwriting.
  • Mismatched signature dates or unsigned exhibits create recording problems and can stall closing.

Consequences of an Incorrect or Incomplete S&P

Title Delays: Recording refusal or exception
Financial Loss: Earnest money disputes or forfeiture
Contract Rescission: Buyer may cancel under contingency
Litigation Risk: Breach claims and damages
Tax Reporting: Incorrect 1099 or transfer tax filings
Closing Delays: Lender or escrow funding hold
