If Seller's written consent is required by the Original Contract, Assignor shall promptly seek such consent and shall use commercially reasonable efforts to obtain it. The parties acknowledge that this Addendum does not release Assignor from liability under the Original Contract unless and until Seller executes a written release.

Representations and Indemnity

Assignor represents that, to Assignor's actual knowledge, the Original Contract is in full force and effect and there are no material defaults by any party other than as disclosed in writing. Assignor agrees to indemnify, defend and hold harmless Assignee from any losses, claims or liabilities arising from Assignor's misrepresentation or breach of obligations under the Original Contract that accrued prior to the Effective Date.

Assignee agrees to assume and perform all duties and obligations of Assignor under the Original Contract arising on or after the Effective Date, including but not limited to payment obligations and performance deadlines, subject to any escrow instructions and consent conditions described herein.

A breach of this Addendum by either party shall be a breach of the Original Contract to the extent the breaching party remains liable thereunder. Remedies shall include the right to specific performance, recovery of actual damages, and costs of enforcement, including reasonable attorneys' fees, to the extent allowed by the Original Contract and applicable law.

Governing Law; Entire Agreement

This Addendum shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Addendum, together with the Original Contract, constitutes the entire agreement between Assignor and Assignee concerning the subject matter hereof and supersedes all prior agreements and understandings related to assignment.

Miscellaneous Provisions

No amendment to this Addendum shall be effective unless in writing and signed by both Assignor and Assignee. If any provision of this Addendum is held invalid, the remaining provisions shall remain in full force and effect. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.

Acknowledgment

The parties acknowledge receipt of a fully executed copy of this Addendum and agree to deliver any further instruments or consents reasonably required to effectuate its terms, including obtaining releases from Seller or lender consents if required by the Original Contract.
