REAL ESTATE ASSIGNMENT AGREEMENT

This Real Estate Assignment Agreement (the Agreement) is made effective as of (Effective Date), by and between:

Property and Original Contract

The rights to purchase the Property are presently held under that certain Purchase and Sale Agreement dated between Seller: and Buyer: (Original Contract).

Assignment

For good and valuable consideration described below, Assignor hereby assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in and to the Original Contract, including the right to proceed to Closing, subject to the terms and conditions of this Agreement.

Representations and Warranties

Assignor represents and warrants to Assignee that: (a) Assignor is the party to the Original Contract and has full right and authority to assign the Contract rights; (b) the Original Contract is in effect and has not been amended except as disclosed in writing to Assignee; (c) Assignor has not granted any prior assignment or other interest in the Original Contract that would materially impair the rights assigned hereunder; and (d) to Assignor's knowledge there are no defaults by any party to the Original Contract other than those disclosed in writing to Assignee.

Covenants; Further Assurances

Assignee covenants to perform all obligations required under the Original Contract from and after the Effective Date and agrees to indemnify Assignor for any liability arising from Assignee's failure to perform. Assignor agrees to execute such further instruments and take such actions as may be reasonably necessary to effectuate the assignment and to cooperate in any closing.

Indemnity and Release

To the fullest extent permitted by law, Assignee shall defend, indemnify, and hold harmless Assignor from and against any and all claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Assignee's actions or failures to perform under the Original Contract after the Effective Date. Upon assignment and payment of consideration as provided herein, Assignor is released from further obligations arising solely after the Effective Date, except for representations and warranties expressly stated herein.

Closing; Escrow Instructions

Closing shall occur on or before unless extended by mutual written agreement. At Closing, the assignment consideration shall be paid as provided above and earnest money shall be applied in accordance with the Original Contract and escrow instructions. Assignor authorizes escrow to accept delivery of this Agreement and to follow written escrow directions consistent with the Original Contract and this Agreement.

Default and Remedies

In the event of a material breach of this Agreement by either party, the non-breaching party may pursue all remedies available at law or in equity, including specific performance of the Original Contract where applicable, recovery of damages, and termination of this Agreement where permitted. Time is of the essence with respect to all dates and deadlines in this Agreement.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above by personal delivery, recognized overnight carrier, or certified mail, return receipt requested, and shall be effective upon receipt.

This Agreement shall be governed by and construed in accordance with the laws of the State of .
