Representations and Warranties

Assignor represents and warrants that: (a) Assignor is the lawful holder of the Original Contract and has the full right and authority to assign the Original Contract to Assignee; (b) the Original Contract is in full force and effect and has not been materially breached by Assignor; (c) there are no prior assignments of the Original Contract except as disclosed in writing to Assignee; (d) to Assignor's knowledge, there are no undisclosed material liens or encumbrances affecting Assignor's interest under the Original Contract.

Assignee represents and warrants that: (a) Assignee has the financial capacity to perform Assignee's obligations under the Original Contract and this Assignment; (b) Assignee has reviewed the Original Contract and accepts the terms as assigned subject to any express contingencies stated herein.

Default, Remedies and Liquidated Damages

If Assignee fails to timely perform under the Original Contract or this Assignment, Assignor may, at Assignor's election, retain the Assignment Fee and any deposit as liquidated damages, or seek specific performance or other remedies at law or equity. If Assignor is in default under the Original Contract prior to assignment, Assignor shall be responsible for curing such default or shall indemnify Assignee for any losses resulting therefrom.

Indemnity and Insurance

Each party shall indemnify, defend and hold the other harmless from and against all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of that party's breach of this Assignment or its representations, except to the extent caused by the indemnified party's willful misconduct or breach.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the parties at the addresses set forth below or other address provided in writing. Notices shall be effective upon personal delivery, confirmed overnight courier, or three (3) days after deposit in the United States mail, return receipt requested.

General Provisions

Governing Law: This Assignment shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for any action relating to this Assignment shall be in the appropriate court in that state.

Entire Agreement; Amendment: This Assignment contains the entire agreement between the parties concerning the subject matter hereof and supersedes all prior oral and written agreements. This Assignment may be amended only by a written instrument signed by both parties.

Severability: If any provision of this Assignment is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Execution
