Seller represents and warrants that Seller is the lawful owner of the property, has full authority to execute this Reserve Form, and that there are no undisclosed liens or encumbrances other than those listed in writing. Seller agrees to deliver marketable title at closing subject to standard exceptions accepted in the marketplace.

If Seller fails to perform under a binding purchase arising from this auction (including refusal to convey after acceptance of a qualifying high bid), Seller shall be liable for actual damages, including reasonable costs and fees and broker or auctioneer damages incurred as a direct result of the default. Auctioneer shall hold bidder deposits in escrow and apply them according to the terms of the purchase documentation and applicable law.

Seller shall indemnify, defend and hold Auctioneer harmless from claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of Seller's breach of representations, Seller's failure to disclose known material facts, or Seller's actions contrary to this Reserve Form.

Withdrawal, Cancellation & Notices

Seller may withdraw the property from the auction prior to the start of bidding only upon written notice to Auctioneer and upon payment of any required withdrawal fee set forth in the separate listing agreement. After bidding has commenced, Seller acknowledges that withdrawal may be limited and may expose Seller to damages.

Governing Law & Entire Agreement

This Reserve Form shall be governed by and construed in accordance with the laws of the State of . This Reserve Form, together with any listing agreement or purchase documentation executed in connection with the auction, constitutes the entire agreement between the parties concerning the auction reserve and supersedes all prior negotiations and understandings with respect to the subject matter herein.
