General Provisions

1. Ratification. Except as expressly modified by this Avenant, the Original Agreement remains in full force and effect and is ratified by the parties. All references to the Agreement shall be deemed to refer to the Agreement as amended by this Avenant.

2. Supremacy of Amendments. In the event of any conflict between the terms of the Original Agreement and the terms of this Avenant, the terms of this Avenant shall control.

3. Consideration. The parties acknowledge that the mutual promises and covenants contained herein constitute sufficient consideration for this Avenant.

4. Representations and Warranties. Each party represents and warrants that it has full power and authority to execute and deliver this Avenant, that the person signing on its behalf is authorized to do so, and that execution and performance of this Avenant will not violate any other agreement binding on such party.

5. Default and Remedies. Except as modified herein, the default and remedy provisions of the Original Agreement apply to the provisions amended by this Avenant. No remedy is exclusive and the exercise of one remedy shall not preclude the exercise of others.

6. Governing Law; Venue. This Avenant shall be governed by and construed in accordance with the laws governing the Original Agreement. Venue for any action arising out of this Avenant shall be as set forth in the Original Agreement.

7. Entire Agreement. This Avenant, together with the Original Agreement and any exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings with respect thereto.

8. Counterparts; Electronic Signatures. This Avenant may be executed in counterparts, each of which shall be deemed an original. Signatures provided by electronic means shall be binding.
