Acknowledgements, Representations and Releases

Buyer represents and warrants that Buyer has had the opportunity to conduct such inspections, investigations and inquiries as Buyer deems necessary and that Buyer understands the effect of removing the contingencies checked above. By removing any contingency, Buyer acknowledges any rights expressly arising from that contingency are waived to the extent set forth herein.

Seller's acceptance of this BCR constitutes Seller's agreement that the Purchase Agreement shall continue toward closing on the terms set forth therein, as modified by this BCR. Acceptance by Seller of a contingency removal does not constitute a waiver of Seller's rights under the Purchase Agreement except as expressly set forth in this document.

To the extent any removal of contingencies results in a dispute regarding earnest money or damages for non-performance, the remedies provided in the Purchase Agreement shall govern. If the Purchase Agreement does not provide a remedy, the parties' damages shall be governed by applicable contract law, including the right to specific performance where available and other equitable remedies.

If checked, the parties hereby agree to a mutual release of any claims arising solely from contingencies governed by this BCR, subject to the terms below.

Default, Remedies and Miscellaneous

Except as otherwise stated in the Purchase Agreement, a party in material breach of the Purchase Agreement or this BCR shall be subject to the remedies available under the Purchase Agreement, including forfeiture or recovery of earnest money, specific performance, and damages. The parties agree that monetary damages may be inadequate in some circumstances and that equitable relief may be sought.

This BCR constitutes the entire understanding with respect to removal of contingencies and supersedes any prior oral or written statements inconsistent with this BCR. This BCR may be amended only by a written instrument signed by both Buyer and Seller.

All notices under this BCR shall be in writing and delivered to the addresses below for each party.
