Sale of the Conveyed Items is:

Delivery of this executed Bill of Sale and transfer of possession of the Conveyed Items shall occur on the Closing Date specified above, unless otherwise agreed in writing. Risk of loss prior to delivery remains with Seller.

GOVERNING LAW; ENTIRE AGREEMENT

This Bill of Sale shall be governed by and construed in accordance with the laws of the state in which the Property is located. This instrument contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether oral or written. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Bill of Sale is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The prevailing party in any dispute arising under this Bill of Sale shall be entitled to recover reasonable attorneys' fees and costs.
