Recitals and Purpose

This Real Estate Bond (the Bond) is executed as of , by and between the Obligor and the Obligee to secure the Obligor's full and punctual performance of certain obligations arising under the underlying real estate transaction described below.

Bond Amount: $ (the Bond Amount). The Bond Amount shall be held as security for performance of the obligations of the Obligor under the underlying agreement referenced as:

Bond Term: The Bond shall remain in full force and effect until the earlier of: (a) full performance by the Obligor of all obligations secured by this Bond; or (b) months from the Effective Date above, unless extended in writing by the Obligee.

Deposit and Holding: The Obligor shall deliver the Bond Amount by to the Obligee or into an agreed escrow. The Bond Amount shall be held as liquid security and may be applied in accordance with the terms below upon default.

Conditions, Default and Remedies

An Event of Default under this Bond occurs upon the Obligor's failure to perform any material obligation under the underlying agreement within the applicable cure period specified therein or within days after written notice from the Obligee specifying the nature of the default.

Upon an Event of Default, the Obligee shall provide written notice (see Notices below). If the default is not cured within the stated cure period, the Obligee may invoke the Bond and apply the Bond Amount to: (a) cure the default (including costs reasonably incurred); (b) satisfy monetary obligations due; or (c) recover actual damages directly resulting from the default. The Obligee's application of the Bond Amount shall not be exclusive of any other remedies available at law or equity.

Liquidated Damages: The parties agree that if the Obligor fails to complete performance and forfeiture of the Bond Amount is sought, the Obligee's recovery from the Bond shall be limited to the Bond Amount, which the parties expressly acknowledge is a reasonable estimate of certain foreseeable damages and not a penalty. This limitation is without prejudice to other remedies for non-monetary relief such as specific performance.

Recording, Assignment, and Release

Recordation: This Bond may be recorded in the official land records if necessary to protect the Obligee's rights. The recording of this Bond is authorized by the Obligor.

Assignment: Neither party may assign its rights or delegate its obligations under this Bond without the prior written consent of the other party, except that the Obligee may assign its interest in the underlying real property or the underlying agreement and shall provide written notice to the Obligor.

Release: Upon written confirmation of full performance by the Obligee and satisfaction of all secured obligations, the Bond Amount shall be released to the Obligor and any recorded notice of this Bond shall be reconveyed or released of record.

Representations, Warranties and Acknowledgements

Each party represents and warrants that it has full power and authority to enter into this Bond and that execution and delivery of this Bond has been duly authorized. The Obligor acknowledges that the Obligee's acceptance of the Bond is not a waiver of any rights under the underlying agreement or applicable law.

Notices

All notices required or permitted under this Bond shall be in writing and shall be deemed delivered when personally delivered, sent by nationally recognized overnight courier, or three business days after deposit in the United States mail, certified or registered, return receipt requested, to the addresses set forth above or to such other address as a party may designate by notice in accordance with this paragraph.

General Provisions

Governing Law: This Bond shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflict of law principles.

Entire Agreement: This Bond, together with the underlying agreement referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral.

Severability: If any provision of this Bond is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver: The failure of any party to enforce any right under this Bond shall not constitute a waiver of that right or any other rights under this Bond.
