Applicant acknowledges that the Booking Fee is non-refundable except as expressly provided in this form or as required by law. If Applicant fails to timely execute a binding purchase or lease agreement within the Holding Period or otherwise defaults, Applicant forfeits the Booking Fee to Owner as liquidated damages. If Owner fails to perform (including inability to convey marketable title or other material breach), Owner shall return the Booking Fee to Applicant in full within ten (10) business days of written notice.

Remedy for breach shall be limited to the express remedies provided herein; Applicant and Owner acknowledge that actual damages may be difficult to ascertain and agree that the Booking Fee constitutes a reasonable estimate of damages for Applicant default.

Representations, Warranties and Miscellaneous

Applicant represents that all information provided is true and correct and that Applicant has authority to enter this Booking Form. Owner represents that it has authority to accept the Booking Fee and to reserve the Property subject to the terms herein.

This Booking Form constitutes the entire agreement between the parties with respect to the reservation described herein and supersedes prior negotiations and understandings. Any amendment must be in writing and signed by both parties.

Governing Law: This Booking Form shall be governed by the substantive laws of the state in which the Property is located, without regard to conflict-of-law principles.
