What a Real Estate BRA Assignment Is and when it applies

The Real Estate BRA Assignment is a legal instrument used to transfer brokerage rights and obligations under a Buyer Representation Agreement (BRA) from one broker or agent to another. It records consent of the parties, identifies the buyer and brokers involved, and specifies the effective date, scope of representation, and any compensation or commission arrangements. The assignment clarifies continuity of client representation, ensures contract terms remain enforceable after transfer, and provides an explicit record for closing agents, lenders, and title companies. Parties commonly execute it alongside a new representation agreement.

Why a clear BRA Assignment matters for closings and commissions

A clear Real Estate BRA Assignment preserves client consent, prevents commission disputes, and documents authority during a broker change. It reduces closing delays by providing title companies and lenders a definitive record of who may act for the buyer and how commissions are allocated.

Typical users and stakeholders for a BRA Assignment

Brokers, buyer clients, and brokerage managers use a Real Estate BRA Assignment when representation changes during an active transaction, transfer of files, or merger of brokerages.

  • Listing brokers transferring buyer-client rights to a cooperating brokerage during an in-progress purchase.
  • Buyers consenting to a new agent while retaining existing negotiation terms and commission structure.
  • Title companies and lenders needing documented authority to work with the newly assigned broker.

Real estate attorneys, escrow officers, and compliance teams also review assignments to ensure enforceability and accurate payout instructions.

  • Omitting notarization or required witness signatures where state law demands may render the assignment inadmissible for recording or contestable in court.
  • Leaving vague compensation language or failing to state survival of pre-assignment fees creates ambiguity and increases litigation risk.
  • Not notifying escrow, title, and lender promptly can delay closing, cause funding holds, or require last-minute amendments.

Potential penalties and practical risks from defective assignments

Commission Disputes: Litigation costs and delayed payouts.
Recording Failure: Priority loss for security interests.
Notary Noncompliance: Potential invalidation for recording.
Contract Breach: Damages, attorney fees possible.
Regulatory Exposure: State licensing inquiries.
