Default; Remedies

If Broker materially defaults, Principal may terminate this Agreement upon written notice and pursue any remedies available at law or equity.

Indemnification; Insurance

Each party agrees to indemnify and hold harmless the other against claims arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement. Broker shall maintain errors and omissions insurance customary in the industry during the term of this Agreement.

Termination

This Agreement may be terminated by mutual written consent, upon material breach by the other party if uncured after 10 days' written notice, or by Principal upon [number] days' written notice where permitted by law. Termination does not affect rights or obligations accrued prior to termination, including the protection period.
