Protection and Procuring Cause

Broker shall be entitled to compensation if Broker is the procuring cause of a sale of the Property or if a sale closes for a buyer or purchaser introduced to the Property by Broker, regardless of whether the sale closes after termination of any listing or representation, provided the closing occurs within days of termination. If no number of days is inserted, the protection period shall be 0 days.

Escrow Instructions and Disbursement

The parties authorize escrow to disburse Broker compensation as set forth herein directly from sale proceeds in escrow at closing. Escrow shall follow the instructions of the parties and this Addendum and shall be entitled to rely on the representations of the parties in determining entitlement and amount due.

Default; Remedies; Indemnification

If the party obligated to pay Broker fails to pay compensation in accordance with this Addendum, Broker shall be entitled to the full amount of compensation agreed herein plus costs of collection, including reasonable attorneys' fees and litigation or arbitration costs. The parties agree to indemnify and hold Broker and Broker's brokerage harmless from any claims, costs or liabilities arising from payment or nonpayment under this Addendum, except for Broker's gross negligence or willful misconduct.

Each party represents that it has full authority to enter into this Addendum and bind itself to the obligations herein. The parties authorize Broker and escrow agent to rely upon and act in accordance with this Addendum and warrant that any information provided to Broker is true and complete to the party's knowledge.

This Addendum shall be governed by and construed in accordance with the laws of the state where the Property is located. This Addendum constitutes the entire agreement between the parties with respect to Broker compensation and supersedes any prior oral or written agreements on that subject.
