REAL ESTATE BROKER REPRESENTATION AGREEMENT

This Real Estate Broker Representation Agreement (the Agreement) is entered into by and between Broker Name: (Broker), and Client Name: (Client). The parties agree as follows.

7. BROKER DUTIES AND AUTHORITY

Broker shall use reasonable professional efforts to market the Property (if applicable), identify prospective buyers/tenants, present offers and counteroffers in a timely manner, and provide honest and competent advice. Broker is authorized to list, advertise, place signs, and cooperate with other brokers as necessary to effectuate the transaction, subject to Client's written limitations.

8. CLIENT DUTIES

Client will provide accurate information regarding the Property, make the Property reasonably available for showings, refer all inquiries to Broker, and promptly review and respond to communications. Client warrants that Client has authority to enter into this Agreement and to bind the represented party.

9. DISCLOSURES

10. DUAL AGENCY AND CONFLICTS

Broker shall keep confidential Client information except where disclosure is authorized by Client, required by law, or necessary to perform Broker's duties (including disclosure to cooperating brokers, lenders, title companies and the parties to the transaction). Confidential information does not include material facts about the Property required to be disclosed by law.

12. EXPENSES AND INDEMNIFICATION

Client is responsible for reasonable out-of-pocket expenses incurred by Broker in marketing the Property or performing services under this Agreement if such expenses are pre-approved by Client. Client agrees to indemnify and hold Broker harmless from claims, liabilities and expenses arising from Client's misrepresentation, failure to disclose material facts, or breach of this Agreement.

13. DEFAULT AND REMEDIES

In the event of breach by either party, the non-breaching party may pursue all remedies available at law or equity, including specific performance, damages, and enforcement of commission obligations. If Broker prevails in an action to enforce compensation, Client shall reimburse Broker's reasonable attorney's fees and costs.

14. NOTICES

Notices under this Agreement shall be given in writing to the addresses below and are effective upon delivery by hand, courier, or certified mail to the address provided.

15. GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the State of . This Agreement contains the entire agreement of the parties with respect to the subject matter and supersedes all prior negotiations and understandings. Amendments must be in writing and signed by both parties.

16. MISCELLANEOUS
