Client affirms that Client is the owner or authorized representative with authority to engage Broker for the transaction. Client authorizes Broker to obtain and release information reasonably necessary to perform brokerage services, including but not limited to: inspection reports, offers, counteroffers, and transaction status updates to other brokers, lenders, closing agents, and parties to the transaction.

Client understands Broker will exercise reasonable skill and care but that Broker does not guarantee results. Client should obtain independent advice for legal, tax, environmental, structural, or other matters outside of brokerage services.

Client acknowledges that Broker may represent other parties and that Broker will not disclose confidential or material nonpublic information of Client without Client's prior written consent.

Client acknowledges that information provided by Broker should not be relied upon as legal, tax, or survey advice. Client agrees to independently verify material facts and obtain specialist advice where appropriate.

Termination; Remedies; Indemnity

This Acknowledgement may be terminated by either party upon written notice to the other, subject to any earned compensation or obligations that survive termination. Broker's remedies for nonpayment or breach include pursuit of contractual remedies and reimbursement of reasonable fees and costs. Client agrees to indemnify and hold Broker harmless from claims arising from Client's misrepresentations or breach of obligations under this Acknowledgement.

Governing Law; Entire Agreement

This Acknowledgement shall be governed by the laws of the state where the Property is located. This document constitutes the entire agreement between the parties regarding Broker services for the Property and supersedes prior oral or written agreements, except as otherwise provided in a separate written compensation agreement executed by the parties.
